Matt Phillips is an associate and a member of the Asset Management and Investment Funds practice. Matt advises clients on the formation and operation of open- and closed-end private investment vehicles, including hedge funds, private equity funds, and private credit funds. He has experience guiding fund sponsors through every phase of the fund formation process, from fund structuring through investor onboarding.
Matt also counsels and represents institutional investors in connection with their private market investments, including by reviewing and advising on fund documentation and by negotiating side letters and other transaction documents.
Additionally, Matt has a broad and active regulatory practice, advising institutional investment managers, private fund sponsors, and broker-dealers on complying with the U.S. federal securities laws and related SEC, CFTC, and FINRA rules. In particular, he has extensive experience advising clients on matters related to marketing and performance advertising, investment adviser registration, and anti-money laundering.
Matt also has experience in negotiating investment advisory agreements and derivatives documentation.
