Represented Sumitomo Mitsui Trust Bank, Limited, New York Branch (“SuMi Trust”) in the financing of three (3) Boeing 737-900ER aircraft for a large US-based airline using a traditional mortgage and loan structure.
Supported the lenders with the financing of four (4) Boeing 737-8 and two (2) Boeing 737-9 aircraft for a large US-based airline using traditional mortgage and syndicated loan structure.
Assisted a Japanese bank as sole lender on the purchase, finance, and JOLCO leasing of one (1) Boeing 777F aircraft with MSN 67995. The aircraft is on lease to a freighter-centric leasing company and sub-leased to a major American cargo airline.
Represented TC Skyward Aviation US, Inc. as lender’s counsel with the beneficial interest sale and financing of two (2) Airbus A320-200 Aircraft with MSN 6865 and MSN 7163. The aircraft are on lease to Avion Express Malta Ltd.
Assisted SuMi Trust as lender’s counsel with the ACG Guaranteed JOLCO financing of one (1) Airbus A321-251NX aircraft with MSN 11281 on lease to Pegasus Airlines.
Represented a large regional airline in relation to the sale of six (6) Embraer E175 aircraft to a major US carrier.
Advised TC Skyward Aviation US, Inc. as senior agent's/senior lender's/mezzanine agent's/mezzanine lender's counsel with the release of security in relation to one (1) Boeing 737-800 aircraft with MSN 28616.
Advised JP Lease Products & Services Co., Ltd. as seller’s counsel in the sale and purchase of the beneficial interest of one (1) Airbus A321-271NX with MSN 11785. The aircraft is on lease to Frontier Airlines, Inc.
Represented the initial purchasers and arrangers in a US$6.1 billion debt transaction involving senior secured notes, a term loan, and revolving credit facility for a major airline.
Advised the arrangers and initial purchasers in connection with a US$3 billion senior secured term loan facility and a Rule 144A/Regulation S offering of US$2.5 billion aggregate principal amount of 4.5% senior notes due 2025 and US$3.5 billion aggregate principal amount of 4.75% senior notes due 2027 by Delta Air Lines.
Assisted with the renegotiation and document production of more than US$4.5 billion of aircraft lease and related debt in Avianca Holding’s Chapter 11 reorganization.
