Senior Finance

Represented a public construction company in connection with its US$3 billion credit facilities and US$1 billion of senior notes.
Represented a public software company in connection with its US$140 million bridge credit facility and US$250 million permanent secured credit facility used to replace the bridge facility.
Represented a private equity sponsor in connection with a US$75 million senior secured credit facility and US$23 million unsecured mezzanine notes used to finance a leveraged acquisition of a hotel management company.
Represented a private equity sponsor in connection with a US$170 million first lien credit facility and a US$40 million second lien credit facility used to finance a leveraged acquisition of a telecommunications company.
Represented a leading national bank, as administrative agent, in connection with a US$125 million senior secured revolving credit facility to a broadcasting company.
Represented a leading global investment firm on the sale of its subsidiary, a leading pan-European provider of leasing solutions for electric locomotives. Further advised the client on both the subsidiary‘s formation and a series of subsequent financings for the company, with the subsidiary since having built a fleet of more than 150 locomotives leased to over 20 customers in continental Europe under long-term contracts.
Represented a leading bank based in Qatar in the Italian law aspects of a €140 million Islamic finance facility granted to an Italian leading general contractor, with a security package governed by Italian law.
Represented a leading international company, as servicer and agent, in connection with the amendments and extension of an originally approximately €400 million term loan acquisition and capex facilities granted to a real estate investment fund for the purchase of a formerly state-owned real estate portfolio in Italy and in the release of security following sale of the properties and repayments.
Represented a private equity sponsor on the €153 million financing for the acquisition of a Germany-based group of medical centers for radiology.
Represented a syndicate of lenders on the acquisition of all shares in a provider and deliverer of frozen food in Europe.
Represented a private investment firm on financing its acquisition of a United Kingdom-based global manufacturer and distributor of high-strength, large diameter industrial fastener systems.
Represented a leading supplier of tax technology solutions in the United Kingdom on the finance elements of its acquisition of a U.K.-based company that provides corporate tax professionals with comprehensive technology solutions. The acquisition constituted a reverse takeover under the AIM Rules and was financed by a placing of new shares raising £45 million and through new debt facilities.
Represented a global wireless distribution company in connection with its acquisition of a leading provider of distribution and integrated supply-chain solutions to the European mobile industry with more than 3,500 customers and an annual turnover of almost £1 billion.

Mezzanine Finance and Junior Capital

Represented an institutional investor in connection with the issuance of a US$30 million PIK term note to a private equity portfolio company and a related US$15 million equity co-investment.
Represented institutional investors in connection with US$42 million of second lien promissory notes and a US$7.5 million equity co-investment used to finance a leveraged acquisition of a hotel management company.
Represented an institutional investor in connection with US$42 million of second lien promissory notes from a private equity-backed information technology company specializing in cloud adoption and acceleration.
Represented institutional investors in connection with US$76 million of second lien promissory notes used by a private equity portfolio company to finance a dividend recapitalization.
Represented an institutional investor in connection with a US$24 million secured second lien term loan facility used to finance the leveraged acquisition of a manufacturer and distributor of Mexican premium ice cream novelties by a private equity sponsor.
Represented an institutional investor in connection with an equity co-investment and a US$75 million second lien secured term loan facility to a provider of third-party maintenance services specializing in data center maintenance. 
Represented institutional investors in connection with a US$100 million second lien secured term loan facility and a US$12.5 million equity co-investment used to finance the leveraged acquisition of an energy-focused professional services firm.
Represented an institutional investor in connection with the issuance of US$20.5 million unsecured subordinated notes, with the proceeds used to finance the leveraged acquisition of a manufacturer of high-quality residential windows and doors.
Represented an institutional investor in connection with a split collateral US$25 million term loan credit facility used to finance a private equity sponsor’s leveraged acquisition of a leading contracting firm providing physics-based technical system engineering solutions.
Represented an institutional investor in connection with its purchase of US$37.5 million unsecured subordinated notes issued to finance the leveraged acquisition of a leading national project advisory firm.
