Represented Hinduja Global Solutions, an Indian-listed conglomerate, on (i) the disposal of its US health care business process optimization division in a carve-out transaction to Barings Private Equity Asia for US$1.2 billion, and (ii) the acquisition of Teklink, Inc., a US data analytics company for US$58.5 million.
Advised a global chemical company on its acquisition of a business from a leading Japanese chemicals manufacturer in a deal valued at US$330 million.
Advised a Temasek Holdings portfolio company in an English-law governed acquisition of an entity incorporated in England and Wales for a consideration of up to £28 million.
Represented Ellimist Singapore Pte Ltd., a subsidiary of an Indian family office, on (i) the acquisition of Sagent Pharmaceuticals and Omega Laboratories from Nichi-Iko Pharmaceuticals; (ii) a business combination between Omega Laboratories and Juno Pharmaceuticals (creating one of the largest specialty generic injectable business in Canada); and (iii) the sale by Sagent Pharmaceuticals of its facility located in Raleigh, North Carolina and its related business to a global pharmaceutical company.
Acted for a Singapore-listed company in its disposal of its various subsidiaries to a China acquiror for a purchase consideration in the region of S$128 million.
Represented Pine Labs, a leading Indian merchant platform company providing financing and retail transaction technology, on its US$45 million acquisition of Fave, a South East Asia smart payment app and a loyalty and cashback platform with operations in Malaysia and Singapore, as well as its earlier Series C preferred share investment into Fave.
Represented Mirabaud, a European-based asset manager, on its (i) Series C preferred share investment into a Singapore-based technology company providing e-commerce, digital marketing, analytics, and technology integration services, and (ii) Series D preferred share investment into a Singapore-based consumer brands company.
Represented EXS Capital Advisors Pte, a Singapore-based asset manager, on the establishment of EPIC VCC.
Acted for Pitney Bowes Inc. in its acquisition of Cresco Data Pte. Ltd., a specialist cloud-based technology platform in Singapore.
Advised Hy2, the manager of the world’s largest clean hydrogen infrastructure fund, on its strategic equity investment into InterContinental Energy, a company committed to delivering green hydrogen at scale.
