Daniel G. Fayock

Daniel Fayock is a partner and a member of the firm’s Corporate practice. He focuses his practice on mergers and acquisitions and advising public and private companies on corporate governance, strategic initiatives, and complex corporate and commercial transactions. His matters are often cross-border in nature and he has a particular emphasis on representing manufacturing and industrial companies. Dan served as chief legal officer, among other senior in-house legal positions, with Fortune 500 public companies, where he gained extensive experience advising boards of directors and executive teams on a wide range of legal, corporate governance, ESG, compliance, and other strategic matters. He has structured, negotiated and closed numerous mergers, acquisitions, divestitures, and joint ventures over the course of his career. He also provides counseling for a broad range of commercial and operational issues and has negotiated complex business arrangements in a variety of industries, including manufacturing, chemicals, metals, aerospace and defense, automotive, and packaging.

Prior to joining the firm, Dan served as executive vice president, chief legal officer, and corporate secretary of a Fortune 500, NYSE listed company in the metals manufacturing and fabricating industry. In that position, he was responsible for the global legal, compliance, international trade, government affairs, and environmental remediation functions. Prior to this, he spent fifteen years in senior roles with increasing responsibility, including as Deputy General Counsel and Secretary, of a Pittsburgh-based global coatings and specialty chemicals company, with responsibilities that included leading the corporate secretary and governance function, handling a number of acquisitions, divestitures and joint ventures, and representing various businesses in a variety of commercial negotiations, disputes and other legal issues. Dan also spent two years as in-house counsel for an energy company after starting his career as a Corporate lawyer at K&L Gates in Pittsburgh.
