Vanessa Boato is counsel in the firm’s Milan office and is leading the administrative and planning law department. Her practice is focused on administrative/town planning/public procurements-related transactions as well as in litigation before Administrative Courts and arbitration boards. She advises both national and international private companies, real estate funds, public bodies and joint enterprises. She offers advice on real estate transactions (asset deals, share deals, development agreements) with reference to administrative law aspects (town planning and construction law, public agreements, commercial authorizations, environmental, energy and social housing) in order to set the most efficient town planning solutions for developing, selling or acquiring real estate assets, as well. Moreover, she has worked on drafting general town planning schemes, implementing plans and town planning agreements. She also offers advice on Global Government Solutions, Commercial Transactions and Outsourcing, Food Industry and Corporate M&A.

Professional Background

Prior to joining K&L Gates, Ms. Boato worked worked as a senior town planning associate at the Milan office of another large international firm. Between 2001 and 2003 she was an Honorary Judge at the third criminal department of the Milan Court. Ms. Boato graduated in 2000 from the University of Milan School of Law and was admitted to the Bar of Milan in 2003.

  • Assistance to German real estate funds in the purchase of two real estate assets designated to logistics and of real estate assets with office destination;
  • Assistance to a German real estate fund in the purchase of a shopping centre and of an outlet in Italy;
  • Assistance in the execution of due diligence activities with particular focus on administrative and town planning issues on a “cash and carry” real estate portfolio;

  • Assistance to a U.S.-based real estate fund in managing various “Programmi Integrati di Intervento” related to the development of one of the main strategic areas in the center of Milan, providing for the legal due diligence (town planning), the assistance in negotiating the agreement (with respect to town planning and building aspects) and approving the “Programma Integrati di Intervento” and in the related negotiation and closing of the zoning covenant;
  • Assistance to an Italian group/legal due diligence (town planning and building titles) in relation to certain areas forming part of the wider area interested by a recovery plan “Piano di Recupero Intercomunale” approved by the “Accordo di Programma”, concerning the re-industrialization of the area;
  • Assistance to a building cooperative in the sale of a large area affected by “Piano Particolareggiato di Recupero” that develops a volume for residential use;
  • Assistance to one of the most important Italian companies operating in the real estate sector in the sale of four real estate properties (held in joint venture with an American Fund);
  • Judicial and extrajudicial assistance to a multinational company, world leader in the field of outdoor advertising, for the acquisition of the concession for the management of advertising spaces on the entire national territory of the Italian Railway Network;
  • Assistance to a trade association in setting up a scheme to be used in public procedures involving the “social housing”;
  • Assistance to an Italian real estate fund in the legal due diligence activity (town planning/building aspects/environmental) and in the process of development of two buildings destined to residence and offices in Milan;
