Ms. Lee practices in the areas of private equity, private fund formation, and general corporate law. She represents private investment funds in connection with fund formation activities including documenting and negotiating partnership agreements, management agreements, side letters, subscription documents, and placement agreements. Her experience also includes representing investors in connection with their investments in a variety of private funds and preferred equity structures. In addition, Ms. Lee counsels clients on general corporate matters, including transactional and governance matters. She has extensive experience negotiating, structuring, and closing a wide variety of corporate transactions, including mergers and acquisitions, joint ventures, and strategic partnerships. She has served as outside in-house counsel multiple times throughout her career.

Professional Background

Prior to joining the firm, Ms. Lee previously practiced law at an international law firm in their Forth Worth office. She began her career in Forth Worth working for a regional law firm. In addition, Ms. Lee was an assistant general counsel for a health care company in North Carolina, an experience to which she attributes her understanding of and commitment to exceptional client service.

  • Represents a fund manager in connection with the formation of and fundraising for its private global real estate funds and opportunistic funds, each such fundraise ranging in the billions of dollars.
  • Represents an asset manager in connection with the structure and formation of its global employee co-investment program.
  • Represents a fund manager in connection with the formation of and fundraising for its private debt funds, each such fund raising upwards of $500 million.
  • Represented the purchaser in the acquisition of two operating divisions of a company in the health publishing field, with assets valued at approximately $15 million.
  • Represented the purchaser in a private stock purchase of a digital healthcare consulting company, for a purchase price of $10.2 million, with additional earn-out potential of approximately $4.0 million.
  • Represented the purchaser in a private stock purchase of a video health content company for a purchase price of $7.4 million.
  • Represented a private company in connection with a multi-million dollar joint venture with an international humanitarian organization. The joint venture spanned a ten-year period and included royalty payments.
  • Represented a private company in connection with a multi-million dollar joint venture with a nationally known non-profit with fees based on performance metrics.
  • Advises clients regularly regarding general corporate matters to include corporate and other entity formalities, risk analysis, general contract principles, and other business and legal matters.
