Mr. Trotman is a commercial litigation lawyer with experience in banking and finance litigation, loan recovery and security enforcement as well as personal and corporate insolvency matters. He assists in providing advice to a number of major Australian banks, listed and unlisted companies, financiers and insolvency accounting firms.

He also has experience in general commercial disputes, including equitable claims for breach of trust.

Professional Background

Prior to joining K&L Gates Mr. Trotman worked in accounting and finance roles, most notably as a tax accountant, assisting both individuals and small and medium enterprises with their annual financial reports and tax compliance responsibilities.

Achievements

Supreme Court Exhibition Prize Winner (La Trobe University, 2015) (awarded for the best honours thesis) for the paper "The Certainty of Uncertainty: The Pitfalls of Australia's Unique Debt-Equity Rules" (also presented at the 2016 Australasian Tax Teachers Conference).

Mr. Trotman provides editorial assistance for the Journal of Australian Taxation.

He also assists a number of charitable and not-for-profit entities in respect of various corporate, tax, leasing, trust and Australian Charities and Not for profits Commission (ACNC) issues.

Restructuring and Insolvency

  • Assisting in advising major Australian banks on various aspects of proprietary security enforcement, secured and unsecured loan recovery, enforcement of guarantees and defending claims of unconscionability and misleading and deceptive conduct.
  • Assisting in advising various clients on voluntary administration issues, including meeting and voting formalities.
  • Assisting in advising various commercial entities, insolvency accountants and institutional clients on issues relating to liquidations, receiverships, winding up proceedings and applications to reinstate deregistered entities.

Corporate M&A

  • Assisting with the due diligence for a AUD370 million pharmaceutical acquisition
  • Assisting with the due diligence for Amneal Australia's acquisition of the majority of Activis' Australian assets.
  • Assisting Capitol Health Limited in its acquisition of Eastern Radiology Services Pty Ltd.
  • Assisting a multinational corporation with the Australian aspects of its corporate restructure.
  • Assisting in advising various clients in respect of Corporations Act issues, including directors duties, shareholder rights and corporate formalities.

Real Estate

  • Assisting in advising banks, insolvency accountants, liquidators, receivers and administrators in respect of:
    • planning and environment issues pertaining to distressed real property assets
    • water share and licensing complications relating to agricultural properties
    • issues relating to mortgagee in possession sales.
  • Assisting in providing advice to the provisional liquidator of an ASX listed company in respect of various property and contractual matters.
  • Assisting in advising clients on commercial and retail leasing matters, including the preparation of leases and acting on lease disputes.
  • Assisting in advising developers, banks and agents in relation to owners corporation issues.
