Mr. Kawaguchi is a partner in the firm’s Tokyo office. Mr. Kawaguchi’s practice focuses on asset finance (with an emphasis on aircraft, shipping, and real estate), mergers and acquisitions, banking and insolvency matters, with experience in strategic M&A, inbound M&A into Japan, cross-border reorganization, acquisition finance, and complex financial transactions.

Mr. Kawaguchi has represented a broad range of clients such as international private equity firms, sovereign wealth funds, global mobile telecommunications companies, Japanese leasing companies, Japanese trading companies, Japanese and foreign banks, securities companies, and other financial institutions.

Professional Background

Mr. Kawaguchi was admitted to practice law in Japan in 2000 and joined the firm in 2010. Before he joined the firm, he spent a year at the London office of an international law firm.

  • Represented Tokyo Century Corporation (formerly Century Tokyo Leasing Corporation) (“TCC”) as JV partner and the sole lender in its US$2 billion aircraft leasing joint venture with CIT Group (“CIT”), which established joint venture companies in both Ireland and the United States (Delaware). TCC provided 70% of the equity in the deal and all of the US$1.5 billion in debt financing.
  • Represented TCC in their capacity as a bidder in relation to the purchase of the aircraft-leasing business of CIT, the CIT fleet includes in excess of 350 commercial aircraft. We completed due diligence on both the lease and loan portfolio including the provision of a detailed due diligence report with a summary of our findings. The portfolio is estimated to be worth US$10 billion.
  • Acted for TCC in relation to the refinancing of a mezzanine loan previously maintained as notes by the outgoing lender. The loan was made to a subsidiary of KV Aviation with respect to one Boeing 777-300ER aircraft operated by EVA Air.
  • Represented Daiwa Securities Capital Markets Korea Co., Ltd. and The Korea Development Bank as Joint Lead Managers of a Yen12 billion Secured Floating Rate Loan borrowed by KAL Japan ABS 13 Cayman Limited and backed by Korean Air’s yen receivables arising from the sale of cargo transportation from and to Japan.
  • Represented TCC in respect of multiple aircraft finance and leasing transactions involving SAS, KLM, KLM City Hopper, ITOCHU, Aviation Capital Group, Southwest Airlines, Air France, SMBC Aviation Capital, AWAS, Finnair, Tiger, British Airways, Thai International, NOK, Qantas, Air New Zealand and others.
  • Acted for Sumitomo Mitsui Finance and Leasing Company, Ltd. in relation to the JOLCO purchase and financing of two Boeing B787-9 aircraft, on lease to British Airways.
  • Acted for Sumitomo Mitsui Finance and Leasing Company, Ltd. in relation to the JOLCO purchase and financing of nine Boeing aircraft, on lease to Deutsche Lufthansa AG.
  • Assisted Sumitomo Mitsui Trust Bank, Ltd. with the financing and security arrangements in relation to one Boeing 777-300 aircraft on long-term lease to Emirates.
  • Assisted Nissen Kaiun Co., Ltd. with the sale of two Boeing 737-800 aircraft to AirCastle on long-term lease to TUI Travel Aviation Finance Limited.
  • Assisted Nissen Kaiun Co., Ltd. with the purchase and financing of two Boeing 777-300 aircraft on long-term lease to Emirates.
  • Assisted Soken Corporation Co., Ltd. with the purchase and financing of a Boeing 737-800 aircraft from SMBC Aviation Capital on long-term lease to Norwegian Air International.
  • Assisted SMBC with the financing of one Boeing 737-800 aircraft on lease to KLM Royal Dutch Airlines.
  • Assisted Toyoko Tochi Tatemono Co., Ltd. with the purchase and financing of one Boeing 737-800 aircraft on long-term lease to Panama-based Copa Airlines.
  • Assisted Sumitomo Mitsui Banking Corporation with the financing and security arrangements in relation to one Airbus A320-200 aircraft purchased by a Japanese corporate. The aircraft is on long-term lease to Spirit Airlines.
  • Advised Japan Airlines (JAL) on a major deal with Airbus, in connection with the carrier’s purchase 31 of the manufacturer's A350 aircraft. The agreement, which also includes the option for the delivery of an additional 25 aircraft, is JAL's first-ever order with Airbus, and is the largest order for A350 planes in 2013.
  • Representation of multiple Japanese leasing companies and equity investors in relation to Japanese operating lease transactions and lease restructurings.
  • Representation of a major Japanese leasing company in respect of an ECA financed leasing transaction with a Japanese carrier.
