Stephen Tan is a partner based in the firm’s Taipei office. As a member of the Corporate/M&A practice group, he concentrates his practice on the areas of corporate law, mergers and acquisitions, foreign investment, capital markets and securities, as well as asset management.
Mr. Tan routinely advises clients on complex cross-border mergers and acquisitions, frequently involving consolidation among listed companies in different jurisdictions, corporate restructuring, private equity transactions and other securities aspects of commercial transactions. He advises foreign investors on setting up corporate entities in the ROC and internal corporate procedures, and negotiates joint venture, technology transfer, share purchase, asset transfer, distribution and licensing agreements. Mr. Tan’s practice also involves equity and debt capital market transactions and various types of capital market issues in the context of corporate reorganization and merger and acquisition. He also advises on the structuring of products and related offering documentation, asset management transaction and other related corporate and regulatory matters.
With extensive experience in the area of international trade compliance in Greater China, Mr. Tan regularly advises multinationals on various import, export and supply chain issues, including among others customs classification, valuation and rules of origin, and export control licensing and various trade compliance and logistic planning issues in connection with free trade agreements.
Prior to joining the firm, Mr. Tan was a senior consultant in the Taipei office of a multinational law firm. He was an adjunct professor at Tamkang University, and has held various posts in the American Chamber of Commerce in Taipei, including Secretary, Board Governor and Co-chair of the Greater China Business Committee.
