Simon Mabin is a banking and finance partner in the firm’s Dubai office. He has worked on a wide range of conventional and Islamic financing transactions and has acted for lenders, private equity sponsors, trustees, issuers and corporate borrowers in relation to various domestic and cross-border acquisitions, projects, work-outs, restructurings, capital markets transactions and regulatory projects.

Prior to joining the firm, Simon worked for international law firms in Dubai and in London for a number of years.

  • HSBC in connection with a secured US$170MM facility provided to Mannai Corporation for its acquisition of a stake in Axiom Telecom.

  • Credit Suisse on a structured US$50MM secured loan to a UAE based government related entity.

  • International Bank of Qatar and Union National Bank on a US$250MM subordinated loan to Qatar Steel for the design, construction, commissioning and completion of a new steel melt shop.
  • China Development Bank Corporation on a US$214,000,000 facility provided to the Republic of Sri Lanka in connection with a project to build a hydroelectric power station.
  • ANZ National Bank on the financing of a $52MM project to construct a new port berth at an oil refinery plant.

TMT Finance
  • du in connection with a US$272MM term loan facility provided by Nordea Bank and with ECA backing from Finnvera.

  • JPMorgan, Deutsche Bank and Société Générale on AED20BN of secured structured deposit-linked notes issuances, from both a conventional and an Islamic finance perspective.
  • Private equity firm Castle Harlan on the issuance of £65MM of PIK notes by one of its portfolio companies.
  • Deutsche Bank in connection with the issuance by Baghlan Group of US$150MM 2015 Notes.

Regulatory
  • The UAE Department of Economic Development on how to reform UAE federal laws relating to certain financing matters.

Corporate M&A
  • The Administrative Agent and Cash Confirmation Provider in connection with the US$445MM public acquisition of shares in Damas listed on NASDAQ Dubai by a consortium comprising Mannai and EFG Hermes (“M&A Deal of the Year” 2012 IFLR).
  • The shareholders on an auction process involving multiple private equity firms and the resulting sale of a significant stake in a Jordan based company to Carlyle Group.
  • A prominent UAE private equity firm on the sale of its shareholding in a fitness group and certain related debt restructuring arrangements.
