Ms. Boon has significant experience in mergers and acquisitions and private equity transactions across Asia. She represents private equity and venture capital funds, special situations groups, sovereign wealth funds and corporate clients on transactions across various sectors including natural resources, healthcare, technology, media, telecommunications and FMCG. She also advises on a variety of cross border transactional and related corporate matters.

Ms. Boon was recognised by Chambers Asia-Pacific for five consecutive years since 2012, and in Legal500 in 2015 as a leading individual for her M&A and private equity work throughout the Asia Pacific region in particular, for having carved a notable profile in the Indonesia M&A arena. She is described as being a “fantastic lawyer”, "incredible for deals between China and Indonesia", with sources highlighting that she has “worked in many jurisdictions and knows how to deal with legal teams from different cultures”, " extremely smart at negotiating" and a "very sensible and commercial person". IFLR1000 also identifies her as “diligent, skillful and compassionate towards client service.”

Professional Background

Prior to joining K&L Gates, Ms. Boon worked in the M&A team of a large and reputable international law firm in Singapore and Shanghai. She also practised Singapore law in the M&A team of one Singapore's largest law firms. Throughout her career, Ms. Boon has been involved in some of the largest high profile M&A and private equity deals in the Asia Pacific region.

  • Represented a large private equity fund in its co-investment into a leading healthcare services provider in the Gulf Cooperation Council (“GCC”) countries and India
  • Represented Barings Private Equity Asia in the sale of its 41.65% stake in PT Cardig Aero Services Tbk to Singapore Airlines Terminals Limited.
  • Represented a media focused fund in its investment into an Indonesian company engaged in the business of content distribution and content aggregation.
  • Represented Partners Group in connection with its acquisition of a majority stake in Indian IT services company, CSS Corp, for approximately US$270 million. The transaction was one of the largest acquisitions in the Indian IT sector in 2013 and a very rare leveraged buyout in India.
  • Represented Golden Agri Resources in connection with its acquisition of approximately 16,000 hectares of palm oil plantations in Indonesia for a consideration of US$178 million and a further investment of US$220 million in The Verdant Fund, a private equity fund aimed at developing palm oil plantations.
  • Represented the sellers of Cassis International Pte Ltd., a global Trusted Service Management specialist, in the sale of 100% of its equity to Morpho S.A.
  • Represented Honeywell International Inc. in its SGD430 million acquisition of King's Safetywear, a personal protective equipment company with operations in South and Southeast Asia, North Asia, the United States, Europe, and Australia, in a controlled auction process.
  • Represented CWT International in its approximately US$94 million acquisition of 73.81% stake in MRI Trading, a Swiss incorporated base metals trading company with international operations.
  • Represented a Chinese group in its internal restructuring and  structured debt, equity and hybrid acquisition financing and pre-IPO for an Indonesian iron ore mine.
  • Represented Baring Private Equity Asia in its structured debt and equity investment into an Indonesian air services company.
  • Representing the shareholders of Media Nusantara Citra in the minority investment into the target by Saban Capital.
  • Represented PT MNC Sky Vision, the largest pay-TV operator in Indonesia, in its offering of US$165 million of 12.75% Senior Secured Guaranteed Notes due 2015 under Rule 144A and Regulation S.
  • Represented J&Partners, L.P., a private fund, in its US$200 million acquisition of the Indonesian and Malaysian gold mining assets of its UK-listed parent, Avocet Mining PLC.
  • Represented the selling shareholders in the divestment by auction of PT Jawamanis Rafinasi, one of Indonesia's leading white sugar refineries to Wilmar International.
  • Represented the selling shareholders on the divestment of PT Bukit Makmur Mandiri, Indonesia’s second largest mining contractor, in one of Indonesia's largest leveraged buyouts, involving the target company raising approximately US$1 billion to finance its buyout by PT Delta Dunia Makmur Tbk, through a refinancing, a new facility, a bond and an equity offering (IFLR “Asia 2010 M&A Deal of the Year”; Finance Asia “Best Indonesia Deal”; IFR Asia “Indonesian Capital Markets Deal of the Year”).
  • Represented the purchasers in the acquisition of a stake in PT Mobile-8 Telecom Tbk (JSX-listed).
  • Represented PT Rajawali Corpora in the sale by auction of its 56.22% stake in Bentoel Internasional Investama (JSX-listed), Indonesia's fourth largest cigarette maker, to the world’s second largest tobacco group, British American Tobacco.
  • Represented a private equity fund in its structured private equity and debt financing investments into a number of business process outsourcing companies in South and Southeast Asia.
  • Represented a private equity fund in its equity investment and mezzanine financing into an Indonesian freighter airline company.
  • Represented a private equity fund in its structured equity investment and mezzanine financing into an Indonesian undersea cable development and the subsequent exit from its private equity stake and the refinancing of the facility.
  • Represented a private equity fund in the divestment of its stake in a major Indonesian conglomerate to the special situations groups of two leading investment banks.
  • Represented a major Indonesian conglomerate in the establishment of a joint venture with a Chinese natural resources company for the acquisition of shares of a company listed on the Indonesia Stock Exchange.
  • Represented Barry-Callebaut, a leading manufacturer of cocoa and chocolate products in its acquisition of a majority stake in KL-Kepong Cocoa Products, a leading Asian cocoa and chocolate manufacturer based in Malaysia.
  • Represented Cobepa, a Belgian private equity fund, in its acquisition of a stake in AEA International Holdings, a company providing healthcare and security assistance to executives in developing countries.
  • Represented Southern Bank Berhad in the transfer of its entire banking business to CIMB Bank Berhad (Finalist for “2007 ALB Southeast Asia M&A Deal of the Year”).
  • Represented Asia Pacific Breweries in its bid for, and subsequent acquisition of, Foster’s assets in Vietnam.
