Mr. Kemp has experience in a broad range of commercial and corporate advisory matters including mergers and acquisitions, capital raisings, joint ventures, business sales, tenement sales, option agreements, Australian Securities Exchange (ASX) compliance, corporate governance and general corporate and commercial advice.

He has experience working with clients across a variety of sectors, including substantial experience in energy and resources, and has worked on a number of cross border transactions.

Professional Background

Mr. Kemp started his career in 2008 in a small boutique corporate law firm in Perth which subsequently merged with a large Australian national law firm. Four years later that national law firm merged with K&L Gates.

  • Advising Australian and Canadian listed client CGA Mining Limited on its CAD1.1 billion merger by scheme of arrangement with B2Gold Corp.
  • Advising Australian listed client Karoon Gas Australia Limited on the sale of its Browse Basin petroleum exploration assets to Origin Energy Limited for US$800 million.
  • Advising Australian listed client Blackham Resources Limited on its AUD7.9 million acquisition of the Wiluna Gold Project from the receivers and managers of Apex Minerals NL.
  • Advising Canadian listed client B2Gold Corp. on its US$570 million merger by way of scheme of arrangement with Australian listed company Papillon Resources Limited.
  • Advising Australian listed client iiNet on its AUD105 million acquisition of Internode including associated debt raising.
  • Advising Australian listed client iiNet on its AUD40 million acquisition of Netspace including associated debt raising.
  • Advising Australian listed client iiNet on its AUD60 million acquisition of the consumer division of AAPT Limited including associated debt raising.
  • Advising Australian and Canadian listed client CGA Mining Limited in respect of a financing arrangement with Ratel Gold Limited for the acquisition of the 20.7 million equivalent gold ounce King-king project in the Philippines.
  • Advising a U.S.-based investor on an AUD10 million convertible loan to an Australian oil and gas exploration company listed on the ASX and AIM.
  • Advising Australian client Erin Resources Limited, a mining exploration company with tenements in Senegal, on the demerger of its Nigerian assets and its backdoor listing on the ASX.
  •  Advising a Chinese state-owned entity in respect of the acquisition of a substantial interest in an ASX-listed mining exploration company.
  • Acted for Resource Development Group Ltd (RDG) in its acquisition of Central Systems Pty Ltd, a multi-disciplined construction and maintenance service provider to the mining, energy and infrastructure sectors in Australia. The acquisition was an "all scrip" acquisition resulting in RDG becoming a fully diversified engineering, construction and mining services provider with revenues of over AUD195 million.
