Mr. Masters is a partner in the Portland office of K&L Gates. His practice focuses on financial transactions, debtor-creditor rights and real estate. Mr. Masters represents a variety of clients, from large multinational corporations to individuals, in matters of commercial secured transactions, real estate acquisition and finance, real estate investment, construction lien disputes, UCC Article 9 perfection and priority issues, foreclosure, bankruptcy and receivership proceedings, structured finance and syndicated tenancy-in-common financings. Mr. Masters is a past vice chairman of the ABA Real Estate Opinions committee, and a member of K&L Gates’ Opinion Committee.

Professional Background

Mr. Masters joined K&L Gates in 2000 after three years in the finance and reorganization department of a large Chicago firm.  Prior to that, Mr. Masters counseled the middle market division of a major Chicago bank.

  • Counsel to lenders in workout and foreclosure (deed in lieu, judicial and non-judicial) of distressed debt secured by real estate, including receivership proceedings
  • Representation of banks, finance companies and other financial institutions in structuring, negotiating and documenting secured asset-based, syndicated and other lending transactions, including leveraged stock and asset acquisitions and recapitalizations
  • Real estate counsel to financial institutions and corporate borrowers in acquisition, due diligence and financing of real property
  • Counsel to lenders in construction lien disputes
  • Representation of corporate borrowers, including public companies, in negotiating and documenting credit facilities
  • Representation of creditors in bankruptcy and other insolvency proceedings
  • Issuer’s counsel in connection with private placement of securities offerings connected with real property acquisitions
  • Representation of financial institutions as credit enhancers in bond transactions
  • Representation of sponsors of syndicated tenancy-in-common (TIC) financings in connection with structuring of offerings and preparation of offering memoranda
