Mr. Miller's practice focuses on the federal securities laws, principally in the area of investment company and investment adviser representation.  He handles a wide variety of regulatory, transactional and counseling matters, and has special expertise concerning the operation and distribution of mutual funds and in representing investment advisers and their affiliates in structuring new investment products.

Professional Background

Mr. Miller serves on the firm’s Executive Committee and Management Committee. From 2002-2008, he was the Administrative Partner of the firm’s Washington, D.C. office, and from 2008-2014 served as the firm’s Global Integration Partner. He is a member of the American Law Institute and has consistently been selected by his peers for inclusion in The Best Lawyers in America and Washington, D.C. SuperLawyers. He was named 2012 “Lawyer of the Year” for the Washington DC area in Securities and Capital Markets Law by The American Lawyer.

Mr. Miller attended the University of Pennsylvania Law School, where he was Editor-in-Chief of the University of Pennsylvania Law Review. Upon graduation, Mr. Miller served as a judicial clerk to Judge Spottswood W. Robinson III of the U.S. Court of Appeals for the D.C. Circuit and as a judicial clerk to Chief Justice William H. Rehnquist of the U.S. Supreme Court. From 1992 to 1995, he was Special Counsel in the Office of the General Counsel of the Securities and Exchange Commission.

Mr. Miller is a frequent writer and speaker on a variety of securities law topics. He is a co-author of Mutual Fund Regulation – An A to Z Workshop and has recently published articles in The Investment Lawyer and The Offshore Fund Bulletin.

Mr. Miller has recently:
  • Represented some of the world's largest financial services companies in addressing complex issues involving revenue sharing, market timing, trading restrictions and affiliation.
  • Worked with a number of large financial institutions in developing distribution programs for mutual funds and other investment products, including retirement plans and college savings ("529") plans.
  • Represented a variety of investment advisers, broker-dealers and distributors in the structuring and operation of retirement plan platforms, wrap-fee programs, financial product offerings and internal and external servicing arrangements.
  • Drafted and negotiated purchase agreements, operating agreements and other cutting-edge documents for several large mutual fund complexes.
