Oded Green focuses his practice on a wide range of corporate and transactional matters related to private equity and venture capital investments, mergers and acquisitions, debt and equity financing, general corporate law advice, and technology related transactions. In addition, Mr. Green serves clients in a broad array of commercial needs, including licensing of software and technology, joint ventures, supply, distribution, and operating arrangements, both in the U.S. and abroad.

Mr. Green’s clients include companies in a diverse range of industries, including information technology, biotechnology, medical devices, chemicals, manufacturing and other traditional industries. Prior to joining K&L Gates, Mr. Green practiced corporate law in Israel, and gained substantial experience in cross border related transactions. Mr. Green is fluent in Hebrew.

  • Represented a high-tech baby gear company in connection with two venture capital investments in the aggregate amount of $60 million.
  • Represented a drug discovery company in connection with several private offerings of preferred stock, warrants and convertible debt in the aggregate amount of $60 million.
  • Represented a credit card processing company in connection with a private equity fund investment in the aggregate amount of $60 million.
  • Represented a high-tech baby gear company in connection with five rounds of private offerings of preferred stock.
  • Represented a public benefit corporation in connection with a venture capital investment.
  • Represented a developer of a personal air quality monitor in a strategic investment by an Indian company.
  • Represented a technology company in the railroad industry in connection with several rounds of private offerings, and a related joint venture arrangement with a public railroad company.

  • Represented a drug discovery company in connection with an equity investment and a related license agreement with a public pharmaceutical company ($345 million).
  • Represented an online auction company in connection with its sale to a private equity fund.
  • Represented a publicly-held company in its acquisition of a metal forging facility and a related bank financing.

  • Advised a global company in connection with its contract lifecycle management (distribution, sales, and supply).
  • Represented a high-tech baby gear company in connection with the license of its technology to a global toy manufacturer ($215 million).
  • Represented a bio-simulation company, in connection with a strategic investment and a joint development agreement with a global healthcare public company.
  • Represented a technology company in the rail industry in connection with a strategic investment and a related services agreement with a leading railroad company.
  • Represented a developer of hospital inventory management systems using RFID technology in connection with its commercialization agreement with a global pharmaceutical company.
  • Drafted a full set of commercial contracts for a provider of a SaaS-based online fraud detection platform and a provider of a SaaS-based automated translation platform.
  • Represented a Japanese technology company in connection with a long term supply of batteries for industrial use.
  • Represented technology companies, including software, medical device and life science companies, in connection with their spin-offs and licensing arrangements with academic institutions.

Israeli Related Matters

  •  Practiced law in Israel; represented foreign companies entering the Israeli market.
