Neil Woodgate is a consultant in the firm’s London office where he is a member of the Tax practice group.

Neil works in all areas of corporate and real estate tax, including structuring and execution of domestic and cross-border structured, asset and real estate finance transactions, corporate and fund establishment, mergers and acquisitions and reorganisations.

Professional Background

Prior to joining the firm, Mr. Woodgate has been a partner at a global law firm headquartered in New York and also a partner at an international law firm headquartered in London.

  • Structuring and execution of domestic and cross-border structured, asset and real estate finance transactions (including outbound and inbound investment, re-packaging, tax leasing and securitisation) for corporates, lenders, landlords, lessors and lessees
  • Mergers, acquisitions and reorganisations of both United Kingdom and other corporates, partnerships, ELPs, LLPs and LLCs
  • Fund establishment and investment (UK non-UK managed) for multiple investor base (including retail products)
  • Corporate restructuring, administration, receivership and insolvency including appointment & de-grouping issues, pre-packs (UK and non-UK), debt for equity swaps/high value write-offs/debt buy-backs
  • Leveraged acquisition & bank finance (including acting for super-senior, senior, mezzanine lenders & borrowers in domestic and cross-border loans (LMA/non-LMA))
  • Corporate finance transactions including rated debt and equity issues, capital markets and derivatives, listing (main market/AIM), "quoted Eurobonds," clearance services, depository receipts, CREST/CDIs/ADRs/ADSs
  • UK and cross-border tax (including transfer pricing, BEPS, DOTAS, GAAR Code of Practice for Taxation of Banks), DTT procedures and filings, EUSD/Schedule 23/EUACD Reporting, credit committee reporting and product marketing
  • Pro-bono tax advice for UK charities (including youth associations, famine relief & education and micro-finance)
  • Tax training and presentations to UK and non-UK lawyers and clients
