Mayank Gupta is a partner in the firm’s London office. He focuses his practice in advising financial institutions and multinational companies on a variety of financing transactions, including leveraged finance, corporate finance and sovereign lending. His practice has an emerging market focus where he has advised large financial institutions, state-owned and privately own companies on some of the most cutting edge and market leading transactions, including the largest ever bond issuance in Bangladesh at the time and the largest ever non-performing loan acquisitions in Romania and Lithuania to date.

Mr. Gupta’s experience covers a diverse range of jurisdictions, including advising on transactions in the Middle East, Russia and former CIS, Eastern Europe, and many parts of Asia and Africa. Further Mr. Gupta has advised clients from a broad array of industry sectors including real estate, health, oil and gas, mining and metals, and telecoms.

Professional Background

Prior to joining the firm, Mr. Gupta was a partner in the London office of a global law firm. In addition, he worked in the London and Hong Kong office of another large international law firm, and was seconded to the emerging markets desk of a major international investment bank. Earlier in his career, he worked in Sydney at a leading Australian law firm.

Emerging Markets 
  • Represented a financial institution in its largest acquisition of receivables to date in Slovenia. The assets comprised of loans in five different companies who have operations across Europe. The assets were purchased from a sovereign Slovenian institution which is responsible for stabilizing the Slovenian financial sector and facilitating corporate restructurings in Slovenia. 
  • Represented a large international fund in its first ever European and Middle East primary financing deal. The financing was a secured syndicated loan to a global provider of rental power, temporary cooling and mobile water solutions, with operations across the Middle East, Indonesia and parts of Africa. 
  • Represented an international bank who, along with a syndicate of international investors, acquired a loan portfolio from a Lithuanian bank. This was the largest foreign led transaction to occur in Lithuania to date. 
  • Represented an international investment bank in connection with a secured Ijara facility for a large Middle Eastern construction company and a number of its subsidiaries. 
  • Represented an international investment bank in connection with an infrastructure finance facility for the Ministry of Finance of a sub‐Saharan African country. 
  • Represented a large Russian conglomerate in relation to the largest syndicated term loan facility at the time in Russia, which was financed by twelve mandated lead arrangers. 
  • Represented a large telecom operator in Bangladesh in connection with the largest ever bond issuance at the time in Bangladesh. 
  • Represented an international investment bank in connection with a guaranteed loan agreement in relation to a Russian conglomerate. 
  • Represented an international financial institution on a project finance facility in connection with a large gas facility in Israel. 
  • Represented an international financial institution on a guaranteed loan facility to an Eastern European country which was guaranteed by the International Bank of Reconstruction and Development, and advised on the issuance of fiduciary notes.
  • Represented an international investment bank on a senior secured financing to a large state owned entity in Ghana. 
  • Represented an international investment bank in connection with an infrastructure finance facility for the Ministry of Finance of a North African country. 
  • Represented an international investment bank on a restructuring of a major Kazakhstani oil multinational. 
  • Represented a large international cement producing company in Hong Kong and in mainland China in connection with a financing of plants and infrastructure in China. 
  • Represented a large Chinese international bank in relation to a facility to the Government of a country located in the CIS to finance the construction of a gas‐fired power plant. 
  • Represented a large financial institution in relation to the issuance of a sukuk for a large Saudi construction company.

Leveraged Finance
  • Represented a number of mandated lead arrangers and underwriters in connection with a Super‐Senior Revolving Credit Facility for a UK based cinema group.
  • Represented an international investment bank on a leveraged finance facility for an international hotel group based in Dubai.
  • Represented a mandated lead arranger in connection with a successful bid for the acquisition of a listed leading financial technology and products company.
  • Represented a Nordic based sponsor on its acquisition and related financing of a specialist protein company committed to the research, development, and distribution of immuno‐diagnostic assays. 
  • Represented a Nordic based sponsor on its acquisition and related financing of one of Europe's leading healthcare equipment companies. 
  • Represented a number of financial institutions in relation to debt facilities for a public to private acquisition of a specialist software and information technology provider. 
  • Represented a number of financial institutions in the provision of debt financing for the acquisition of a large listed maker of disk‐drive components. 
  • Represented a number of financial institutions in connection with the acquisition of a global travel luggage provider.

Restructuring
  • Advising a syndicate of senior, mezzanine and PIK lenders, together with high yield noteholders on the restructuring of a European based printing company. 
  • Advising a syndicate of senior and mezzanine lenders on a term and borrowing base facilities for the largest commercial vehicle fleet services company in Europe. 
  • Advising investors on a range of non‐performing loan acquisitions, including the largest acquisitions in Romania and Lithuania to date. 
  • Advising an investor in relation to recovering monies from claims arising from Lehman Brothers International (Europe) (in administration). 
  • Advising a syndicate of lenders on both continuous and non‐continuous enforcement strategy for a large Bulgarian corporate. 
  • Advising a global financial institution in relation to restructuring and insolvency issues arising from a payment dispute with Bumi Resources Tbk in Indonesia. 
  • Advising a Hong‐Kong based cement producer in relation to restructuring action taken by a group of investors. 
  • Advising a syndicate of financial institutions in relation to the restructuring of a Middle Eastern hotel syndicate.
