Marta Janowska is an Associate in capital market department of the Warsaw office of the law firm. Her practice focuses on commercial law and capital market law, with particular emphasis on M&A transactions.

Marta Janowska’s practice focuses on the application of civil and commercial law in transactions, in particular she advises clients including capital groups on mergers, acquisitions and restructuring of companies, projects regarding acquisition of shares / stakes in companies, in foreign investment in Poland, as well as ongoing advice to both Polish and foreign clients conducting their business in Poland.

Marta Janowska also has experience in conducting due diligence and in preparing and conducting IPO processes, as well as in the preparation and negotiation of various agreements including investment agreements or agreements for sale of shares. She also has experience in managing projects of different areas of law.

In addition, Marta Janowska advises clients - contractors participating in public procurement, in particular in the preparation of bids or applications for admission to participate in the tender, submitting explanations, preparing pleadings in proceedings before the National Chamber of Appeal, including representing contractors in proceedings before the National Chamber of Appeal.

Currently, Marta Janowska is expanding her practice to advising in the area of Compliance.

Professional Background

Prior to joining K&L Gates she practiced in the Warsaw office of an international law. Prior to this, she worked at another Warsaw-based law firm.

In addition, Marta Janowska also devotes time to advising clients on pro bono matters in civil law, in particular the final beneficiaries of her efforts are the children of the Warsaw Foundation Free School, which is based on a system of Democratic Education, as well as the Humane Society for the Blind in Laski.

  • In 2009 was part of the team that worked on the wording of a final settlement between Poland and Dutch insurer Eureko BV, which settlement ended a ten-year dispute over the control of PZU SA. The settlement included a waiver of the largest historical claim made in BIT arbitration.

  • Advising a foreign bidder in connection with the tenders organized by the Polish State Railways on the modernization of the railway infrastructure in Poland.
  • Advising one of the world's largest manufacturers of unmanned reconnaissance aircraft (UAV) in connection with various legal issues, including in the field of public procurement in Poland.
  • Representing a leading UK tracking technology in the tender for the supply of equipment for tracking by the Polish Police Headquarters.
  • Advising a foreign equipment company tendering for monitoring the coastline, maintaining port security, fleet management and rescue at sea, in a tender to build a national system of maritime safety.
  • Advising a consortium of four entities in the preparation of an offer in a tender procedure, including project management.
