Mr. Tan is an associate in the firm’s Singapore office. His practice is active in all areas of corporate and commercial law, with a particular focus on mergers and acquisitions, joint ventures, equity capital markets, corporate finance, and corporate insolvency and restructurings.

Mr. Tan has acted for corporate clients across a broad range of industries, including energy, mining, manufacturing, technology, and financial services. These include financial institutions, Fintech startups, fund investment managers, government-linked entities, multinational corporations and nominated advisers.

He has extensive experience in cross border transactions, having advised in transactions across Asia and the UK.

Professional Background

Mr. Tan started his career at one of the largest local law firms in Singapore. Prior to joining K&L Gates, Mr. Tan worked in the Singapore office of another international law firm.

Achievements

Mr. Tan obtained a Master of Corporate Law from Cambridge University where he graduated with First Class Honours. He was awarded the Hogan Lovells Prize by the University for graduating at the top of his class, and the Jennings Prize by Wolfson College, Cambridge for academic excellence.

Corporate / Mergers & Acquisitions

  • Advised a number of Indonesian entities in relation to the reverse takeover of a company listed on the main board of the London Stock Exchange (LSE), along with the concurrent US$3.3 billion acquisition by the LSE listed entity of substantial stakes in two of the largest Indonesian coal mines.
  • Advised NetNames Group Limited, a global company specialising in online brand protection and corporate domain name management in respect of its acquisition of Adicio Pte Ltd, a company specialising in corporate domain name management in Singapore.
  • Advised the Indonesian arm of a U.S. based private equity firm on the US$350 million acquisition of a substantial stake in an Indonesian company along with the concurrent US$500 million acquisition by the Indonesian company of an Indonesia based coal mining contractor.
  • Advised a Chinese company in relation to the SGD275 million acquisition of a residential property project in Singapore.
  • Advised a Middle Eastern Sovereign Wealth Fund in relation to its proposed acquisition of a minority stake in a number of port projects in India.
  • Advised a fund based in Hong Kong in respect of its proposed investment and acquisition of a controlling stake in a company listed on the AIM market of the London Stock Exchange.
  • Advised Nova Satra Diagnostics, a molecular diagnostics company in relation to the acquisition by Genting Group of a minority stake in the Nova Satra Group.
  • Advised Visa Global Logistics, a freight forwarding and customs company in connection with its acquisiton of a minority stake in a Singapore freight forwarding business.
  • Advised Ampco-Pittsburgh Corporation, a US steel manufacturer listed on the New York Stock Exchange in respect of its acquisition of Åkers AB, a Swedish producer of steel rolls.
  • Advised a company listed on NASDAQ Dubai in respect of its SGD105 million voluntary general offer for all the outstanding shares of a company listed on the Singapore Stock Exchange (SGX) main board.
  • Advised a company listed on Catalist, the junior board of the SGX, in respect of its SGD285 million reverse takeover by a company listed on the Malaysian Stock Exchange.
  • Advised Gadget Repair Solutions Ltd, a UK company specialising in the provision of gadget repair services for smart phones, laptops, notebooks, mobile phones, MP3 players, and tablets, in relation to the establishment of a joint venture company in Malaysia together with the Holland-based After Sales Group and Malaysia based FoneAsia Sdn Bhd.
  • Advised a company listed on the SGX main board on the SGD75 million acquisition of a bakery and café / bistro food chain in Asia, as well as the extension of a SGD52 million secured term loan facility by an international bank in connection with the acquisition.
  • Advised a company listed on the SGX main board on the US$45 million acquisition of a substantial stake in a company operating an oil pipeline in China.
  • Advised a Singapore company in respect of its US$35 million investment in an independent gas development and production company focused primarily on gas field development in Nigeria and Canada.
  • Advised a company listed on the Australian Securities Exchange main board, on the SGD32 million acquisition of a Singapore company operating a number of port terminals in China.
  • Advised a UK company in respect of its US$20 million acquisition of a Malaysian geotechnical services company.
  • Advised Seatronics Pte Ltd, an oil and gas services supplier and part of the Aceteon Group, in relation to numerous equipment and supply contracts.
  • Advised a number of private equity funds predominantly focusing on investments into the clean energy, natural resources and oil and gas sectors in Asia.

Equity Capital Markets

  • Advised Global Invacom Group Limited, a satellite equipment provider listed on the mainboard of the Singapore Exchange Limited (SGX), on its successful listing on the AIM market of the London Stock Exchange, the first dual listing of its kind.
  • Advised Heng Fai Enterprises Limited, a company listed on the main board of the Hong Kong Stock Exchange in respect of its proposed secondary listing on the AIM market of the London Stock Exchange.
  • Advised Allenby Capital Limited, a nominated adviser and broker in respect of the proposed listing of a Myanmar power and infrastructure group on the AIM market of the London Stock Exchange.
  • Advising a Malaysian rubber recycling company on its Pre-IPO fund-raise as well as its proposed admission to AIM and associated placing.
  • Advising a UK scrap metal recycling business in respect of its Pre-IPO fund raise and its proposed admission to AIM.
  • Advising a Malaysian waste water company on its proposed admission to AIM and associated placing.
  • Advising a Malaysian medical devices company on its proposed admission to AIM and associated placing.
  • Advising the nominated adviser and broker in respect of the proposed admission to AIM and associated placing of a Malaysian telecoms company.
  • Advising a Malaysian medical technology company on its proposed admission to AIM and associated placing.

Corporate Finance & Restructuring

  • Advised an international bank in its settlement with the receivers in charge of unwinding a SGD10 billion secured note program.
  • Advised a U.S. company concerning the refinancing of a SGD5.4 billion loan facility by a syndicate of international banks.
  • Advised a Singapore company regarding its default of a US$250 million syndicated term loan facility and its subsequent corporate restructuring through a scheme of arrangement.
  • Advised an Indonesian company concerning the extension of a US$200 million secured credit facility by an international bank for the acquisition of a substantial stake in an Indonesian company that owns and operates a barge port facility in Indonesia.
  • Advised Platinum Partners Liquid Opportunity Master Fund L.P. and Platinum Partners Value Arbitrage Fund L.P. in multiple secured financing transactions involving Indonesian companies in the areas of telecommunications, energy and agriculture.
  • Advised an international bank concerning the extension of a US$120 million trade finance facility to a company listed on the Hong Kong Stock Exchange.
  • Advised an international bank concerning the extension of a US$85 million secured credit facility to a UK company for the acquisition of two oil tankers.
  • Advised PT Apexindo Energi Investama concerning the extension of a US$60 million secured term loan facility by First Gulf Bank PJSC to it for working capital and general corporate purposes.
  • Advised a U.S. company concerning the extension of a US$56 million secured term loan facility for the purchase of an aircraft.
