Małgorzata Lesiak-Ćwikowska practices in the areas of real estate, as well as civil and commercial law. Her advice is focused on a variety of real estate transactions, including sales and acquisitions of properties, leases of commercial and office space, tenancy, transmission easement and other contracts for use of real properties for the purpose of wind farms, contracts relating to construction process, in particular contracts for design work and property management contracts. Małgorzata’s practice includes legal and real estate aspects of financing of construction investments and other real estate projects. She is also experienced in administrative proceedings regarding investment process at various levels, as well as in re-privatization issues. In addition, Małgorzata Lesiak-Ćwikowska participates in merger, takeover and restructuring projects, share acquisitions, and foreign investments in Poland (including special economic zones and immigration matters such as administrative proceedings related to work and residence permits for foreigners in Poland), as well as legal audits of companies and real properties subject to acquisition.

Professional Background

Prior to joining K&L Gates, Małgorzata gained a few years’ professional experience as an apprentice and legal advisor at the Warsaw office of another leading international Washington-based law firm. Before that she was an intern at a few other leading international law firms, with a particular focus on commercial law issues.

  • Coordinating the team work and supervising the due diligence process as well as advising a foreign fund in connection with the share purchase agreement regarding a wind farm with the planned overall capacity of 30 MW.
  • Coauthoring a study prepared for a government agency regarding legal and administrative requirements regulating activity regarding exploration of unconventional gas.
  • Advising a multiplex cinema operator in connection with several real estate issues, including: re-negotiation of lease agreements in two large commercial centers, rescission of the lease contract with regard to one of major locations in Poland, termination and settlement with regard to real estate lease signed regarding a commercial center in a major city in southern Poland, representation the client in negotiations, advice with regard to claim for damages and related issues.
  • Advised a branch of an Italian company operating in the gas industry within the process of negotiation, termination and re-negotiation of lease agreements and other lease-related issues with regard to nearly 50 residential apartments located in northern and western Poland, leased by the client for the use by its employees in connection with the client’s involvement in one of the largest infrastructure investment projects being conducted in Poland.
  • Representing one of major and active banks in Poland in the legal due diligence concluded with legal report of nearly 30 real properties in different locations in Poland and nearly 100 lease contracts in connection with the re-financing granted to a major hotel & leisure developer and operator in Poland.
  • Advising a leading insurance company on a project for collocation services and lease of space for a data center.
  • Advising several wind farm investors on the administrative proceedings associated with the investment process, including in respect of zoning programs, spatial plans, localization decisions, building permits, occupancy permits etc.
  • Real estate legal due diligence in a few wind farm projects in connection with the acquisition or financing thereof.
  • Advising a foreign entity intending to invest in a holiday village, including feasibility study in the given zoning conditions.
  • Advising two foreign banks on the negotiations of office space lease agreements and amendments to these agreements.
  • Representing an international retail chain offering sports apparel and equipment in negotiations of lease agreements for numerous locations of their retail stores throughout Poland.
  • Advising an international multiparking operator on the acquisition of a Polish company operating parking premises at numerous prime shopping malls and hotels in Warsaw and other cities throughout Poland.
  • Advising a private-equity investor on the acquisition of a wind farm project in Poland.
  • Representing an architect studio in negotiating a design work agreement for the headquarters of one of the largest banks operating in Poland and the headquarters of the management board of the leading fuel company..
  • Representing a Polish private investor in drafting and negotiating design work agreements for his modern multifunctional development project.
  • Advising a global US-based corporation on the acquisition of a state-owned Polish manufacturer from the aircraft industry being a perpetual usufructuary of hectares of industrial properties and in its other investments in Poland, including drafting and negotiating contracts for design works and leases relating to the production facilities and development of R&D center, release of encumbrances over real properties, etc.
  • Representing an affiliate of a leading international real estate fund in negotiating and restructuring leases of commercial space in commercial and entertainment center in Gdynia.
  • Advising a group of companies related to an international real estate fund on their consolidation process.
  • Assisting an international hotel chain in the acquisition of, inter alia, a company owning a five star hotel in Warsaw, and post-close representing the hotel in drafting and negotiating lease agreements for office and commercial space, as well as in financing, corporate matters and other various issues in connection the hotel operations (such as liquor permits and categorization issues).
  • Representing a European real estate fund in their numerous share acquisitions and JV projects to develop, operate and lease warehouse complexes in several major Polish cities.
  • Advising a Polish developer in drafting a standardized package of lease documentation for an office complex in Warsaw.
  • Advising a Polish private investor on design work agreements regarding his modern villa project of Zaha Hadid Architects and the apartment’s interior design by Armani.
  • Advising an international manufacturer from the packaging industry
    in connection with their investment in special economic zone.
  • Representing a foreign embassy in the sale and purchase of residential houses and apartments for the diplomatic personnel in Warsaw, and in connection with reprivatization claims raised with respect to its land plots in Warsaw.
  • Representing an international bank institution in the start-up of their banking-related services division in one of the largest cities in Poland, including a lease, property management agreement and transfer of assets located on the leased premises.
