Ms. Lautier is a funds management lawyer who regularly advises product issuers and fund managers that operate and manage institutional, wholesale and retail managed investment schemes across a range of asset classes including equities, fixed income and direct real property.

Ms. Lautier has advised on a number of transactional matters, which involved working with complex fund structures, assisting with due diligence, providing advice in relation to registered scheme requirements, a change of responsible entity, unitholder meeting requirements and directors' duties.

Ms. Lautier also assists with a broad range of day-to-day legal requirements such as advising on fund establishment, licensing and registration, distribution, product disclosure, outsourcing agreements and regulatory issues. 

Professional Background

Prior to joining K&L Gates, Ms. Lautier worked at an Australian commercial law firm in the financial services team. Ms. Lautier also spent three years in London where she worked for a listed Australian fund manager advising on various property acquisitions and divestments and regulatory compliance.

  • Acting for a large global fixed income manager in relation to the transformation of its global wealth management distribution strategy in Australia. This involved the negotiation and drafting of transaction documentation, advising on arrangements with distribution and platform providers, advice in relation to the conflicted remuneration provisions under the Corporations Act 2001 (Cth) and preparing various regulatory documents to transition the business from wholesale to retail.
  • Acting for a large global asset manager in relation to its registered funds platform in the Australian market. This involved advising on a number of financial services regulatory matters including the launch of a new hedge fund to the Australian market, various updates to existing product disclosure statements and a restructure of a fund's underlying assets.
  • Acting for an Australian wholesale fund manager in connection with the establishment of an early stage venture capital partnership and providing advice in relation to the new SIV investor regime.
  • Acting for an early stage venture capital fund in Singapore in connection with a number of investments into various start-up companies.
  • Acting for a U.S. investment manager in connection with its appointment to provide bespoke investment management services to an Australian financial services licensee that operates a discretionary investment management service for individual managed accounts.
  • Acting for an Australian wholesale fund manager on the transfer of management of number of registered managed investment schemes that invest in Australian and global real estate securities. This involved the negotiation and drafting of transaction documentation, advising on the retirement and appointment of a new responsible entity and assisting with transitional arrangements.
