Ms. Tan has more than 20 years of experience in a broad spectrum of energy, mining, LNG and oil and gas matters including, among other projects: power plant, smelter and refinery construction, financing and operation; oil and gas exploration and commercialization; infrastructure development; electric power sale and distribution; and hydrocarbon and mining assets sale and disposal.

Ms. Tan has advised government linked corporations, financial institutions and private enterprises on a number of notable energy, mining and oil and gas projects around the world. She has been involved in many projects from their inception to their commercial realization.

As well as advising on project development and construction, Ms. Tan has significant experience in advising on the financing aspects of transactions. Her experience includes advising on project, structured, trade and asset financing incorporating swaps and other financial derivatives.

She has led negotiations on construction contracts, loan agreements, and commodity, asset and corporate sale and purchase agreements; advised on joint ventures and project structures (including various public private partnership (PPP) projects); conducted risk allocation and reviewed the ‘bankability’ of project agreements; structured financing arrangements and other relevant security packages and considerations; and managed complex mergers and acquisitions.

Her in-depth experience, broad technical knowledge and seasoned commercial approach are well regarded by her clients and peers. Professional Background

Prior to joining K&L Gates, Ms. Tan was a partner at several large international law firms based in Singapore focusing on cross-border energy, infrastructure, power, mining and metals, and oil and gas project development, structuring and financing, construction, and mergers and acquisitions.

Ms. Tan has been ranked as a “Recognized Practitioner” in the 2015 Chambers Asia Pacific, Singapore, Projects and Infrastructure section and as a “Noted Practitioner” in the 2016 Chambers Asia Pacific, Projects & Energy (International Firms) (Expertise Based Abroad) Indonesia and Projects & Infrastructure: International, Singapore, sections. Ms. Tan has also been featured in previous editions of Chambers Asia Pacific and Asia Pacific Legal 500, 2012 and in previous editions. She has led or been a contributing team member for over US$30 billion worth of deals throughout her career, with more than deals receiving accolades in trade publications for their value, scale and scope.

  • Advised China Offshore Oil Engineering Co. Ltd (COOEC) in connection with its EPC contract for the fabrication of FPSOs P-67 & P-70 for Brazilian deepwater.
  • Advised Keppel Offshore & Marine on its joint venture with Rosneft and MWWirth and also U.S. and EU sanctions considerations against Russia.
  • Advised various Asian shipyards in connection with their EPC contracts for rigs and FPSOs with Brazilian buyers.
  • Advised a PRC shipyard on sanctions rules imposed by US and EU against Russia in connection with the shipyard’s supply of a docking station to affiliates of Russian entities that are blocked by these sanctions and preparing a sanctions compliance manual for employees of the shipyard.
  • Advised the joint venture company established by PT Saratoga Investama Tbk and its joint venture partner on their investment into Indonesian oil and gas assets.
  • Advised CPC Corporation (Taiwan) on its proposed 20-year long term 0.8 million tons per annum LNG purchase from seller, GDF Suez, of LNG tolled by Sempra in connection with the Cameron Project in the USA.
  • Advised a national oil company on its proposed long term LNG purchase in connection with the Cameron Project in the USA.
  • Advised Pavilion Energy on two LNG projects.
  • Advised PT Pertamina (Persero) on its proposed acquisition of Talisman’s participating interest in Offshore Southeast Sumatra Production Sharing Contract in Indonesia.
  • Advised a consortium led by Russia's RT Global Resources, the subsidiary of Russian state corporation, Rostec, in relation to a request for proposal (RFP) for the financing, development and operation of a US$ 2.5 billion oil refinery in Lake Abertine Rift basin, Uganda.
  • Acting for M3nergy Berhad on the production sharing contracts and its proposed joint operating agreement with Petronas Carigali and SapuraKencana in connection with Blocks SB331 and SB332 onshore Sabah.
  • Advising PT Antam (Persero) Tbk on the proposed US$1.8 billion development, construction and operation of a 1.2 Mtpa alumina smelter in Mempawah, West Kalimantan, Indonesia.
  • Advised PT Feni Haltim, as borrower, and PT Antam (Persero) Tbk, as sponsor, on the proposed US$1.6 billion development, construction and operation, and limited recourse financing of a ferronickel smelter in East Halmahera, North Maluku, Indonesia.
  • Advised Cosmos Chemicals Bhd on the proposed US$1.6 billion development, construction and operation, and limited recourse financing of a polysilicon manufacturing plant in Samalaju Industrial Park, Sarawak, Malaysia.
  • Advised PT Pertamina (Persero) on its proposed US$725 million acquisition of a 32% interest in hydrocarbon fields in Venezuela from Harvest Natural Resources Inc.
  • Advised PT Antam (Persero) Tbk on its US$145 million engineering, procurement and construction contract with Sumitomo Corporation for the construction of a 2x30MW coal-fired power plant in connection with the modernization and optimization of a ferronickel smelter in Pomalaa district, Southeast Sulawesi, Indonesia.
  • Advised PT Antam (Persero) Tbk on its US$102 million engineering, procurement and construction contract with an unincorporated consortium of Kawasaki Heavy Industries Ltd. and PT Wijaya Karya (Persero) of a ferronickel plant line-4 in connection with the modernization and optimization of a ferronickel smelter in Pomalaa district, Southeast Sulawesi, Indonesia.
  • Advised a national oil company on its proposed acquisition of oil fields in Kazakhstan, Iraq and Malaysia and downstream oil pipelines and assets in Malaysia.
  • Advised SK Corporation on its joint development with PT Pertamina (Persero) of a Group 3 lube base oil plant in Dumai, Sumatra, Indonesia.
  • Advised PT Pertamina (Persero) in connection with the financing of the Tuban petrochemical refinery in Java, Indonesia.
  • Advising on potential equity investment in Seven Energy International Limited, which has interests in a number of oil and gas assets in Nigeria.
  • Advising on proposed joint venture to set up oil trading business in Nigeria.
  • Advised PT Recapital Advisors and its subsidiary, PT Bukit Mutiara, in connection with the US$1.48 billion acquisition of interests constituting 90% of PT Berau Coal.
  • Advised CBK Power Company Limited as borrower and Edison Mission Energy as sponsor in connection with the development and US$383 million project financing of CBK Power's pumped storage hydroelectric project in the Philippines.
  • Advised PT Antam (Persero) Tbk on development of its bauxite and nickel resources in Indonesia, and chemical grade alumina production facilities in Tayan, Kalimantan, Indonesia.
  • Advised PT Antam (Persero) Tbk on its development of a ferronickel smelter plant and a 102MW diesel fired captive power plant in Pomalaa, Indonesia.
  • Advised PT Merak Energi on its development of a 2x60MW coal fired captive power and steam plant in Merak, Indonesia.
  • Advised sponsors and borrower on the development and US$663 million project financing of Gulf Power's 2x734MW gas fired power plant in Kaeng Khoi, Thailand.
  • Advised oil companies on EPC contracts for gas and oil processing facilities in Indonesia.
  • Advised a Japanese conglomerate on the development and financing of a waste incineration plant in Thailand and the development of a 110MW gas fired captive power plant in Indonesia.
  • Advised Tripura Power Development on its proposed 2x370MW gas fired power plant in the State of Tripura, India.
  • Advised the lenders on the Guangdong Dapeng LNG CNY 5 billion project financing.
  • Advised PT Perusahaan Gas Negara on sale of its US$187 million equity interests in gas pipelines from Grissik to Duri and from Grissik to Singapore.
  • Advised PT HM Sampoerna on its acquisition and SACE financing of production equipment.
  • Advised the project company and Edison Mission Energy as sponsor on the financing of a gas fired peaker plant in Australia.
  • Advised Premier Oil on its commercialization of the West Natuna Sea gas project in Indonesia.
  • Advised an international supplier of marine and energy products and services on a proforma contract for relocation and fuel conversion of power plants.
  • Advised an agriculture company listed on the Singapore stock exchange on acquisition by its affiliate of an interest in a group of companies active in the Texas electricity market.
