Joe Condo focuses his practice on infrastructure projects and transactions, with an emphasis on the renewable energy sector. He has significant experience in complex foreign and domestic commercial transactions, including debt and equity financing, M&A transactions, joint venture arrangements, and complex commercial litigation management. He joined K&L Gates in 2016 following 15 years as an in-house attorney in the power generation sector, including 11 years as a general counsel.

He has extensive direct managerial and employment law experience and over a decade of leading a government affairs function, including state, federal, and international legislative and regulatory matters.

 

Professional Background

As the first general counsel at a power generation company, Mr. Condo developed and implemented an extensive compliance program, managed corporate governance matters and instituted an international corporate document management system. He managed the company’s employee relations and workplace policies, including coordination at industrial sites in the United States, Canada, and Europe. He also served as the primary federal legislative representative on behalf of the company, with responsibility for contact and outreach with key members of Congress and the executive branch on business and federal tax-related issues, as well as extensive work on government affairs matters in the European Union.

Mr. Condo has worked on numerous complex commercial transactions, including;
  • a major convertible debt transaction and several related ancillary transactions in furtherance thereof;
  • the equity documentation and the operating company governance agreement following the conversion to equity by certain note holders in the aforementioned transaction;
  • a major multi-project joint venture transaction for operating power plants;
  • several bridge loan transactions;
  • many transactions regarding the purchase or sale of development projects;
  • project financings, including “traditional” project construction debt, tax equity financings, cash equity transactions and corporate revolving facilities.
  • large scale wind turbine and solar panel equipment purchase contracts, power offtake agreements (to traditional utilities as well as corporate/industrial customers) and energy hedging agreements, key real estate transactions, property tax-related agreements and construction agreements (including build/transfer agreements).
