Mr. Hoff is a partner in K&L Gates’ Houston office focusing his practice in energy transactions. His experience includes:

Professional Background

Prior to joining K&L Gates, Mr. Hoff was a member of the Houston energy practice of a mid-size national law firm. Prior to practicing law, he worked on the business side of a large international energy trading company, where he was involved with the purchase and sale of energy assets and the valuation and settlement of energy commodity trading contracts in bankruptcy.

LNG/Maritime

  • Negotiate and draft terminal service agreements for import and export at seven US and European terminals.
  • Develop import rules and capacity sharing arrangements for multi-shipper terminal.
  • Negotiate and draft agreements for tug services at multi-shipper terminal.
  • Draft agreements for supply of LNG as marine fuel.

Commodity Trading

  • Represent Asian national oil company in the establishment of its North American gas trading operations, including development of form trading and credit support agreements.
  • Negotiate and structure physical and financial trading agreements, including ISDA, NAESB, and EEI master agreements and crude oil trading forms.
  • Conduct Dodd-Frank status audit for oil and gas trading operations of international oil company.
  • Represent public commodities dealers in negotiating and structuring secured hedging facilities.
  • Negotiate retail electricity supply agreements for industrial facilities in Texas.
  • Develop form physical commodity trading agreements for international oil company.

M&A

  • Represent public seller of partnership interest in tolling agreement from gas-fired power generation facility in PJM.
  • Represent buyers and sellers of crude oil, power and gas trading books, including organization, review and management of data room materials.
  • Represent private equity subsidiary in acquisition of international metals trading business.
  • Represent private seller of specialty chemical business in sales transaction.
  • Represent private purchaser of steam generation and utility assets.

Upstream Oil & Gas

  • Negotiate and draft joint operating agreements.
  • Represent major U.S. defense contractor in development of upstream oil and gas consulting and engineering services activities.
  • Represent public joint interest owner in drafting and negotiating construction and transportation agreements for deep water Gulf of Mexico oil and gas fields.

Midstream Assets/LPG Transactions 

  • Negotiate and document natural gas liquids extraction agreements for public commodities dealer.
  • Advise on structures for collection, lifting and sale of condensates, including LPG, from liquefaction facilities.
  • Represent foreign oil company in contract review and bid preparation to acquire US refinery assets.

Power Generation

  • Represent private owner in negotiation of offtake agreements and drafting equity offering material for 1,400 MW power development project in ERCOT.
  • Restructure physical offtake agreements with power generating facilities in ERCOT.
  • Represent public EPC contractor in negotiation of 2,200 MW nuclear power development project.

Drilling

  • Represent private oil and gas drilling contractor in drafting and negotiating drilling rig contracts and subcontractor master service agreement.
