John Owens focuses his practice on the formation, financing and general corporate counseling of startup and growth-stage companies. Mr. Owens enjoys building long-standing relationships with companies beginning at their earliest stages, and assisting them through critical periods of growth and challenge. His experience includes seed and venture capital financings, mergers and acquisitions, public offerings and transactional work in many industries, including technology, telecommunications, e-business, financial services, medical technology, health care, manufacturing, retail, media, sports and entertainment. Mr. Owens also regularly represents the investors that finance startup and growth-stage companies, including angel investors, venture capital firms, private equity firms, and corporate investors.

Mr. Owens has significant experience advising companies regarding public and private offerings of securities and compliance with the requirements of federal securities laws. Mr. Owens provides day-to-day client support and coordination of corporate governance issues, transactional needs and specialty counsel. He also has extensive experience in the negotiation and documentation of a wide variety of corporate and commercial transactions.

General Corporate and Federal Securities Law Compliance
  • Represents publicly traded companies, and their officers and directors, in federal securities law compliance matters.
  • Provides general corporate counseling to private and publicly held corporations and their boards of directors on a broad range of issues, including the duties of directors, Dodd-Frank, Sarbanes-Oxley and other corporate governance matters. Mr. Owens also provides guidance on structuring and conducting annual and special stockholder meetings, forming, migrating corporate entities, drafting and negotiating executive employment agreements and settlement agreements.
