Jeremy Schwarz is an associate in the Miami office who works in the area of fund formation, US and offshore securities offerings, cross-border transactions including M&A, buyouts, joint ventures, investments and financings, and complex structuring. Mr. Schwarz advises investment funds, investment advisers, investments banks, institutional investors, public and private companies, corporate boards, entrepreneurs, and business owners. He has experience drafting and negotiating legal documents ranging from asset purchase agreements, transfer services agreements, and corporate documents for initial public offerings, securities transactions, and general corporate transactions.

Professional Background

Prior to joining K&L Gates, Mr. Schwarz was an associate at an international law firm. He has works in the area of fund formation, US and offshore securities offerings, cross-border transactions including M&A, buyouts, joint ventures, investments and financings, and complex structuring. Mr. Schwarz advises investment funds, investment advisers, investments banks, institutional investors, public and private companies, corporate boards, entrepreneurs, and business owners. He has experience drafting and negotiating legal documents ranging from asset purchase agreements, transfer services agreements, and corporate documents for initial public offerings, securities transactions, and general corporate transactions.

Prior to entering the legal profession, Mr. Schwarz served as an Ernest May Fellow in History and Policy at the Harvard Kennedy School, a fellow of Wolfson College at the University of Cambridge, and a visiting fellow at the Lee Kuan Yew School of Public Policy in Singapore. Mr. Schwarz also served as a lieutenant in the United States Navy, where he was forward deployed to the Persian Gulf and the Horn of Africa. He received numerous awards including the Navy and Marine Corps Commendation medal for his service. Upon completion of active duty, he served as an economic development consultant in Asia and Europe.

Mr. Schwarz’s pro bono work is principally with disabled veterans and veterans advocacy. He is a member of the Wounded Warrior Project, Disabled American Veterans, Veterans of Foreign Wars, and The American Legion.
