James Angelo is a commercial litigator with significant trial, arbitration, and appellate experience, whose practice focuses on transactional litigation, energy/oil & gas, class action defense, and financial services litigation. Mr. Angelo has successfully represented clients as the “first chair” in arbitration proceedings before the American Arbitration Association and the Financial Industry Regulatory Authority.

Transactional Litigation

Mr. Angelo has represented clients in disputes arising out of corporate transactions, including post-closing purchase price and working capital adjustment disputes, claims for indemnification (including escrow and non-escrow claims), and earn out disputes. In the area of transactional litigation, Mr. Angelo has assisted clients in avoiding lengthy and costly litigation by obtaining early-stage dismissal of multiple complaints, including the dismissal of claims brought by former shareholders of a pharmaceutical company seeking to extend the period of an earn out. In that case, the early dismissal of the claims was ultimately affirmed by the Pennsylvania Superior Court.

Energy/Oil & Gas

Mr. Angelo’s energy experience includes representing natural-gas operators and non-operating interest owners in royalty calculation and class action matters, lease disputes, and other land-use litigation.

Class Action Defense

Mr. Angelo’s class action defense experience includes litigating in state and federal courts a variety of shareholder, consumer, health-care, statutory, government-enforcement “tag-along,” and oil and gas royalty class actions. These class actions have touched on a variety of complex issues, including, but not limited to, false advertising, trade secrets, derivative claims, and the calculation of oil and gas royalties. As a result of this experience, Mr. Angelo has assisted with class certification proceedings and helped successfully negotiate classwide settlements.

Financial Services Litigation

Mr. Angelo has successfully defended broker-dealers in customer arbitrations before the Financial Industry Regulatory Authority.

Pro Bono

Mr. Angelo also has an active pro bono practice, which includes representing a federal prisoner in civil rights jury trial, assisting clients in obtaining protection from abuse orders, and counseling clients with respect to family law matters.
