Mr. Esler practices primarily in commercial and corporate law. His practice focuses on mergers and acquisitions, corporate advisory and governance, commercial agreements and general contract law. He has experience in the property, finance, aged care, agriculture and general commercial sectors.

Mr. Esler's clients include companies in the food, manufacturing and services industries, a listed aged care provider, a national supplier of agribusiness products and services, a large Australian motor dealer, banks and other financiers, operators within the pharmacy industry and an international labour hire and recruitment company.

  • Acting for an Australian national supplier of agribusiness products and services in the divestment of Queensland agriculture businesses, including livestock facility operation enterprises.

  • Advising United Petroleum on Queensland wholesale fuel business acquisitions.
  • Acting for a JSE listed workforce management and business outsourcing company in the acquisition of an Australian workplace management group providing staffing solutions across blue and white collar roles to the agricultural, construction, mining, resources and transport sectors.
  • Acting for a JSE listed workforce management and business outsourcing company in the acquisition of an Australian specialist white collar recruitment and contractor management service provider in the oil and gas industry. 
  • Acting for a dual listed (BSX/JSE) international unsecured lending entity in the acquisition of an Australian group specializing in small and medium consumer and business loans. 
  • Acting for ASX listed Japara Healthcare Limited in the acquisition of a portfolio of aged care facilities with a deal value of AUD100 million.
  • Acting in the sale of shares of a Queensland transport company which involved documenting a facilitation agreement with major shareholders and successfully obtaining regulatory approval for the sale to a competitor. 
  • Advising a Queensland property and development management company in respect of a joint venture with an Australian specialist investment partnership to provide investments solutions for developments in Australia.
  • Acting in the sale and purchase of various pharmacy businesses and approvals, and advising on structuring including drafting partnership agreements. 
  • Acting for a large Queensland motor dealer in the purchase of a dealership and associated property. 
  • Advising on the commercial aspects of the management and sale of a sandstone quarry business, mining lease, and environmental authorities in Queensland. 
  • Advising an Australian national cement producer in respect of divestment of Queensland properties and the acquisition and development of a new manufacturing facility. 
  • Acting for Queensland based receivers and managers in the sale of businesses, including a number of hotels. 
  • Acting for Queensland based liquidators in the sale of shares and other assets. 
  • Acting in numerous mortgagee sales of commercial and residential properties and chattels. 

Corporate Governance
  • Assisting clients on a wide variety of advisory and governance issues including director's duties and liabilities, reporting and disclosure obligations, general meetings, related party transactions, financial assistance and capital reductions. 
  • Advising not-for-profit organisations on governance issues, tax concession status and endorsement procedures.

Commercial Agreements
  • Advising an Australian commodities exporter on supply/purchase agreements, competition and consumer law issues and structuring of an overseas wholesale distribution business. 
  • Drafting and negotiating supply, distribution and agency agreements and terms and conditions of sale for the food, construction and services industries. 
  • Advising a large Queensland motor dealer on an ongoing basis in respect of a variety of commercial agreements. 
  • Advising an environmental consultant company on a number of service agreements, including provision of services within the Queensland mining industry. 
  • Advising an Australian distributor of premium beer brands in respect of beer line, beer tap, mobile bar and strategic alliance agreements.
