Mr. Yoon is a partner resident in the firm’s New York and Seoul offices. He focuses his practice in cross-border M&A, financing, investments, and banking and financial services regulation. Over the past 25 years, he has represented major multinational corporations, financial institutions and foreign sovereign entities in the regulatory and transactional aspects of their geographic and product-line expansions as well as strategic divestitures.

His industry sectors focuses over the years have included banking and financial services, construction, telecom and energy. Mr. Yoon also counsels his corporate and financial services clients on prevention and management of disputes, both with private-sector parties and governmental entities.

Until 2010, Mr. Yoon headed the Korean practice of another global law firm.

Transactions

  • Represented a leading Korean refinery oil company in joint venture negotiations for oil-field exploration in Kazakhstan and a joint venture with an Indonesian state owned oil company to establish a lubricant manufacturing facility in Indonesia.
  • Represented an Asian telecommunications provider in connection with the privatization of a Turkish state owned telecom company and potential joint venture with an information technology company in India.
  • Represented a Korean manufacturer in establishing a greenfield manufacturing facility in Newton County, Georgia (including negotiation of inducement packages with state and local governments).
  • Represented the Government of the Republic of Korea (acting through Korea Deposit Insurance Corporation) in the privatisation of Korea First Bank, resulting in sale of a controlling stake to a large private equity firm, and subsequent sale of residual equity interest.
  • Represented an Asian infrastructure fund in private equity transactions on the buy side (mobile telecom company and cable TV company) and on the sell side upon exit from those investments.
  • Represented a financial institution in distressed bank asset acquisitions in Korea, China and Taiwan.
  • Represented an Asian electronics manufacturer in the global auction of white goods manufacturing units.
  • Represented a Korean investment management company in various joint ventures in the area of derivatives trading.
  • Represented a global Korean industrial company in connection with a Eurobond issuance.

Bank Regulatory Matters

  • Represented a global investment bank in a section 20 application to the Federal Reserve Board in connection with an acquisition of a British merchant bank; Bank Holding Company Act applications in connection with various nonbanking expansions in securities and commodities areas; and establishment of a New York State chartered trust company subsidiary.
  • Represented a Swiss bank in Bank Holding Company Act applications to the Federal Reserve Board in connection with acquisitions and product line expansions.
  • Represented a Norwegian government owned financial institution in Bank Holding Company Act applications in connection with a merger with a Norwegian commercial bank; various applications to the Federal Reserve Board and the New York State Banking Department in connection with expansions.
  • Represented a Korean bank in applications to the Federal Reserve Board, the FDIC and the New York State Banking Department in connection with proposed establishment of a U.S. bank subsidiary.

Dispute Resolution/Insolvency

  • Represented an instrumentality of the Korean government in an ICC arbitration arising out of a bank privatisation.
  • Represented a Korean engineering and procurement company in an ICC arbitration arising out of an oil refinery construction project in a Latin American country.
  • Represented a New York-based hedge fund firm as a significant creditor of Lehman Brothers in its bankruptcy proceedings.
