Coleman Wombwell is a partner in the Public Companies group. His practice covers a wide variety of general corporate and securities matters. He advises publicly-traded companies regarding periodic reporting with the Securities and Exchange Commission, corporate governance practices, and on compliance issues such as Section 16 reporting and insider trading, stock exchange rules, and stockholder meetings. Coleman also assists clients in securities offerings, including initial public offerings, underwritten debt and equity offerings, and private placements. In addition, he has assisted both public and private clients in mergers, acquisitions, joint ventures and corporate restructurings.
