Mr. Brownlee’s practice embraces complex litigation in a wide variety of substantive areas of the law. In particular, Mr. Brownlee has extensive experience representing corporations and/or their directors and officers, major public accounting firms and underwriters in litigation involving the securities laws; shareholder class, derivative and appraisal claims; claims of professional and fiduciary liability; RICO claims; and corporate control contests and going-private situations. Mr. Brownlee has represented major law firms in defending claims against them and in seeking insurance coverage for such claims. Mr. Brownlee has also litigated significant matters relating to the utility industry.

Mr. Brownlee has represented corporations, Board committees and/or corporate directors and officers in connection with special investigations involving alleged securities law violations; political contributions and questionable payments; defense contracting issues; and claims of corporate waste and shareholder demands for actions against third parties including lawyers and accountants. He has counseled corporations on the creation of corporate compliance programs and corporate codes of conduct and on issues relating to corporate governance, SOX compliance and directors’ fiduciary duties.

Professional Background

Mr. Brownlee served for many years as the General Counsel of K&L Gates and as the Chair of its Professional Standards Committee. In those roles, he was responsible for addressing professional and ethical concerns that arise from time to time in the Firm’s practice, for managing Firm litigation and the Firm’s relationships with its insurance carriers and for providing legal advice concerning the business and affairs of the Firm. He is a member of the American Law Institute and was a member of the ALI Members’ Consultative Group formed to work with the Reporters for the ALI Restatement of the Law Governing Lawyers. Mr. Brownlee has chaired the Governor’s merit selection panel for the appointment of state court trial judges in Allegheny County, and he has served on the Professional Ethics Committee of the Allegheny County Bar Association. Mr. Brownlee is a Fellow of the American Bar Foundation.

Mr. Brownlee has spoken before professional and other groups in Pittsburgh, Philadelphia, Washington, DC, New York and Kansas City on professional liability concerns of lawyers and accounting firms, accounting and auditing standards, corporate governance and the insurance coverage available to professionals and corporate directors and officers, and he has written on questionable payments, SEC accounting standards and RICO.

After law school, Mr. Brownlee served as a law clerk to Justice Thomas W. Pomeroy, Jr. of the Pennsylvania Supreme Court.
