  • Represented a Singapore-based private equity fund with its acquisition of a majority stake in Indecomm Corporation, a technology, learning and mortgage services outsourcing company, with its headquarters in India and significant operations in US and Asia.
  • Representing Golden Gate Ventures in respect of several e-commerce and high tech investments in Southeast Asia.
  • Represented a SoftBank in relation to the restructuring of Alibaba’s Chinese online payment services provider, Alipay.
  • Represented ABeam Consulting in its acquisition of a minority equity interest in Optimum Solutions, a Singapore based outsourcing company with operations throughout Southeast Asia.
  • Represented ABeam Consulting in the sale of its subsidiary in Taiwan and partial carveout and sale of its business in the PRC.
  • Represented Hitachi in relation to its US$4.8 billion sale of its hard disk drive subsidiary to Western Digital.
  • Represented ON Semiconductor in relation to its US$600 million acquisition of Sanyo Semiconductor.
  • Represented Rakuten in relation to its joint venture with Baidu.
  • Represented NTT Data in relation to its US$200 million tender offer for Intelligroup, Inc.
  • Represented Toshiba in relation to its minority investment in USEC, a U.S.-based uranium enrichment company.
Finance
  • Represented SoftBank in relation to its US$21.6 billion acquisition of Sprint and its financing of the same.
  • Represented the Republic of Indonesia on the issuance of €1.25 billion Euro-denominated notes under its Global Medium Term Note program.
  • Represented a U.S. based hedge fund on its bridge loan to Cokal Limited, an ASX listed company in the mining industry, and currently advising the lenders on the US$100 million project financing for Cokal’s 2 Mtpa Bumi Barito Mineral Project in Kalimantan, Indonesia.
  • Represented Osaka Gas Co., Ltd. and Chubu Electric Power Co., Inc. in the US$1.2 billion equity financing and US$3.1 billion debt financing for the first liquefaction train of the Freeport LNG facility – the Americas Project Deal of the Year – and in their entry into of a long-term LNG liquefaction tolling agreement for the project.
  • Represented a group of hedge funds in relation to the restructuring of the unsecured bonds of Covalent Materials Corporation.
  • Represented Mitsui in relation to its equity investment in a ~US$200 million natural gas pipeline in Arizona.
  • Represented Mitsui in relation to its acquisition of a participation interest in set of Canadian renewable energy projects valued in excess of CA$2 billion.
  • Represented Carlyle in relation to the LBO financing for its acquisition of Walbro, a U.S.-based carburetor and ignition systems manufacturer.
  • Represented a U.S. based hedge fund in multiple secured financing transactions to Southeast Asia companies.
Aircraft Finance/Leasing
  • Advised on the sales, lease novations and financings of a portfolio of six aircraft, including two Boeing 777s on lease to KLM, two Airbus 320s on lease to Dragonair and two Airbus 320s on lease to Aer Lingus.
  • Advised on the sale, lease novation and financing of a Boeing 777 on lease to Solaseed.
  • Advised Century Tokyo Leasing Corporation (“CTL”) as JV partner and the sole lender in its US$2 billion aircraft leasing joint venture with CIT Group (“CIT”), which established joint venture companies in both Ireland and the United States (Delaware). CTL provided 70% of the equity in the deal and all of the US$1.5 billion in debt financing.
  • Advised on the sale, lease novation and financing of two Airbus A320-214s on lease to Peach Aviation.
  • Advised on the restructuring of the financing facilities for 14 separate aircraft on lease to four separate airlines.
  • Advising on the financing of one Boeing 737-800 on lease to United Airlines.
  • Advised on the financing of one Airbus 320-200 on lease to Spirit Airlines.
  • Advised on the financing of two Boeing 777-300s on lease to ORIX Aviation.
