Ms. Duan is an associate in the firm’s Shanghai office. Her practice focuses on advising multinational companies and investors across a number of industries including retail, real estate, logistics and education.

Prior to joining K&L Gates, Ms. Duan was a senior corporate associate at a Shanghai law firm.

Professional/Civic Activities

  • Member of Shanghai Interpreters’ Association
  • Advised a considerable number of multinational retail, trading and consulting companies in their PRC investment, expansion and restructuring projects.
  • Advised a number of foreign invested companies in connection with their daily operations.
  • Represented both investors (such as IDG, Actis and Minsheng Bank) and target companies (such as Qunar, FCLUB and Hui Lau Shan) in numerous investment deals across a variety of industries, including FMCG, education, TMT and health care. Most of the deals are investments at the growth stage with deal size ranging from USD 10 million to USD 100 million and include investments by preferred shares, common shares and/or convertible instruments.
  • Represented PE and VC investors in restructuring their investment portfolios, through redemption, trade sale or secondary sale.
  • Represented a UK PE fund in acquiring a series of private schools and colleges.
  • Facilitated a RMB PE Fund in acquiring a series of Shanghai-based clinics.
  • Represented a PRC institution in its acquisition of residential and industrial properties in China from an Irish investor.
  • Advised Tencent in the acquisition (both onshore and offshore) of a leading PRC e-commerce company focusing on CMR business.

  • Cooperated with Zhongxin Capital in a number of OTC Listing (新三板) projects.
  • Advised Oriental Securities in a number of asset management projects.
  • Assisted an A-share listing company in structuring and implementing its P2P, crowdfunding and e-commerce businesses.
  • Assisted GuoSheng Group (subsidiary of Shanghai SASAC) in handling a number of non-performing assets and properties.
Litigation and Arbitration
  • Advised the funder of a food chain enterprise in an offshore share transfer dispute.
  • Advised the funder of a leading PRC English training school in an onshore and offshore share transfer dispute.
  • Assisted a Swiss Cargo company in filing its creditor’s claim against Jade Cargo.
  • Represented a PRC real estate development company in a share buy-back dispute.
