Chloe Duan is an associate in the firm’s Shanghai office. She is a dual NY / PRC qualified lawyer with ten years of experience gained at both foreign and PRC firms in Shanghai. Her practice focuses on PE/VC and investment management. Over the past years, Ms. Duan has advised some of the most prestigious international institutional investors on its PRC security and equity investment. Ms. Duan also maintains good relationship with regulatory authorities, such as CSRC and stock exchanges.

Prior to joining K&L Gates, Ms. Duan worked in both PRC and foreign law firms for more than 8 years.

  • Represented the founder of a training school in a redemption dispute (US$10 million).

Investment Management

  • Advised the world’s largest family office on its PRC securities investment, including:
    • Set up and develop comprehensive compliance program;
    • Review third party supply agreement, including agreement with external managers, custodian and brokers;
    • Advise on day-to-day operation and trading matters, including, account opening, remittance, trading, settlement and repatriation;
    • Report on weekly basis PRC securities related law and practice development; and
    • Liaison and regularly meet with regulators, such as CSRC and stock exchanges on all matters relating to QFII investment.
  • Advised one of the world’s largest endowment funds on its PRC securities investment, including:
    • Set up and develop comprehensive compliance program;
