Professional Background

Prior to joining K&L Gates, Ms. Dai worked for both international law firm and PRC leading law firm where she advised multinational clients on their operations in China, including real estate and corporate deals, anti-corruption compliance, foreign direct investment, mergers and acquisitions, private equity projects, etc.

  • Serving as client’s in-house China compliance officer under a temporary secondment, with responsibility for intake and elevation of Greater China-based employee complaints and queries respecting compliance with various company policies, conducting tracking and analysis of compliance-related matters, and working with company’s global compliance head and in-house legal team to expand implementation of company’s compliance procedures.

  • Representing client, a well-known multinational computing products company, to review and negotiate the lease agreement relating to the offices located in Guangzhou with the total contract price about RMB100 million
  • Advising client, a well-known domestic real estate group, to purchase a project land through offshore equity transaction with the total transfer price over RMB1.5 billion
  • Advising a multinational bank client to extend syndicated term facility to the Hong Kong subsidiaries of a Korean company, which involves a bunch of collaterals for security, including a mortgage over the real property located in Shanghai owned by such Hong Kong subsidiaries
  • Advising client to borrow onshore and offshore syndicated facilities respectively through its Hong Kong and PRC subsidiaries, which involves a bunch of collaterals for security, including a property mortgage over the real property located in PRC
  • Representing a public financial group, through its wholly-owned subsidiary in PRC, to acquire part of the equity interests in a fund management company in PRC held by a state-owned company with the total equity transfer price of RMB330 million
  • Representing a domestic listed company in heavy industry to cooperate with a foreign listed company for establishing an equity joint venture in PRC
  • Helping a foreign bank to carry out its incorporation of a wholly-owned local bank in PRC (including due diligence review of the entire customer files in the bank’s six branches)
