Ms. Carnegie focuses her practice on mergers, acquisitions and disposals, contract preparation and negotiation, asset sales and other transactional advice (including start-ups and shareholder arrangements), across a broad variety of industry sectors.

In addition to her vast range of experience in mergers and acquisitions, Ms. Carnegie is also experienced in advising on distribution and logistics arrangements, and has a sports law practice which sees her act for organisations, including Cricket Australia, Melbourne Victory, Melbourne Rebels, Melbourne Renegades, North Melbourne Football Club, Tennis Australia, Netball Australia and others across a broad range of commercial matters (including but not limited to, participation arrangements, sponsorship agreements, venue hire arrangements and general corporate (and corporate governance) advice).

Ms. Carnegie is also member of our global (and local) Women in the Professional committees at K&L Gates and on the Australian precedents committee. Further, Ms. Carnegie is an active member of the corporate pro bono team at K&L Gates, and regularly provides advice to large not-for-profit and philanthropic organisations with a view to working hand in hand with them to provide corporate governance and ongoing general commercial advice.

Ms. Carnegie collaborates with clients in the M&A, corporate advisory, sports and philanthropic sectors in order to provide strategic commercial advice as a trusted advisor.

Professional Background

Ms. Carnegie's experience at the firm also includes a part time secondment to Synergy Plus (now part of Hyro Limited) and a full time secondment to National Foods (now part of Lion Pty Ltd).

  • Acting for the shareholders of the TCC Group, a group specialising in protective coating applications and industrial services in the resources sector, in the sale of their shareholdings to Cape Plc, an AIM listed company.
  • Advising Air Melbourne in relation to its commercial arrangements for the provision of helicopter services exclusively around Melbourne Airport.
  • Acting for Southern Restaurants in the acquisition of various Pizza Hut and KFC franchises for a total consideration in excess of AUD30 million.
  • Assisting Accenture in preparing a master outsourcing agreement for the provision of outsourced software, hardware, maintenance and support and consultancy services.
  • Advising the A-League Clubs on negotiations with Football Federation Australia regarding the club participation arrangements.
  • Advising the Twenty20 teams in relation to negotiations with Cricket Australia regarding the team participation arrangements.
  • Negotiating the terms of the commercial joint venture between various clubs at AAMI Park, Melbourne.
  • Negotiating the terms of international football player, Harry Kewell's, return to the A-League.
  • Advising in relation to sponsorship arrangements for Cricket Australia, Melbourne Victory, Melbourne Renegades, Melbourne Rebels, Tennis Australia, Netball Australia and Lion Pty Ltd.
