Carlos White is a transactional lawyer with substantial experience in advising on corporate, commercial, and franchising matters. Carlos’ experience includes representing clients on corporate, M&A, private offerings, and strategic transactions; counseling start-up and large companies on a full gamut of domestic and international franchising issues, such as disclosure documents, franchise offers, transfers, renewals, termination, and M&A transactions; and serving as in-house and outside general counsel to mid-market companies.

Corporate & Commercial

  • Represented management team of a consumer product company in connection with a billion dollar change in control transaction.
  • Represented a mid-market IT company in its acquisition of a mid-market competitor.
  • Represented a mid-market IT company in two changes of control transactions.
  • Served as go-to in-house counsel with respect to corporate governance issues, domestic and international commercial issues, customer-oriented agreements, and day-to-day operational matters for company and its subsidiaries.
  • Acted as in-house counsel, serving as the chief administrative lawyer for a company whose workforce expanded from 110 to 600 employees, total revenues from $80 to nearly $400 million, and customer count from 5,700 to over 25,000 in a two year period.

Franchise & Distribution

  • Supervised the annual franchise registration process in the Dallas and Washington D.C. offices for over 25 companies. These companies included a multi-billion dollar hotel and hospitality company, multi-billion restaurant company, well-known Dallas-based pizza chain, and well-known Tampa-based hamburger chains.
  • Represented a multi-billion dollar company in its sell of a restaurant concept to a San Francisco-based private equity firm.
  • Represented a well-known quick service restaurant in establishing a franchise program in Mexico.
  • Represented a multi-billion dollar hotel company in restructuring its franchise program in the United States and establishing a franchise program in Mexico.
  • Represented a multi-billion hotel/hospitality company in establishing franchise and distribution networks in Australia, Barbados, Singapore, Russia, and Thailand.
  • Represented a well-known, California-based beverage company in restructuring its distribution network in the United States and establishing a franchise program in the Middle East (Jordan, Kuwait, Oman, Qatar, Saudi Arabia, and UAE).
  • Represented an upscale hotel company establish a franchise program in the United States.
  • Represented multi-unit franchisee of a national known sandwich shop in multi-million dollar capital raise to develop units in D.C. market.
