Benay Lizarazu is a partner in the Finance practice and is resident in the Charlotte office. Ms. Lizarazu has extensive experience representing lenders and borrowers in a broad range of corporate middle-market and commercial real estate finance transactions. Her corporate finance experience includes senior, subordinate, second lien, and mezzanine financings for working capital, acquisitions, recapitalizations and other transactions, and capital call lending facilities. She has counseled clients in a wide array of industries, including health care, specialty finance, franchise, manufacturing, and technology. Her experience in the commercial real estate finance area encompasses such matters as mortgage and mezzanine financing, preferred equity and joint venture arrangements with respect to a variety of asset classes, including multifamily, retail, hospitality, and office. She also has significant experience in representing financial institutions and special servicers of commercial mortgage-backed securities in loan restructurings, modifications and workouts.

Prior to joining K&L Gates, Ms. Lizarazu was a member of the corporate department of a law firm in Miami.

Corporate Finance
  • Represented administrative agent in a $210 million senior debt financing to a manufacturer of zone heating products and specialty power tools.
  • Represented administrative agent in a $120 million senior debt financing to a distributor of diabetic supplies.
  • Represented lender in a $120 million senior debt financing to a healthcare management company.
  • Represented mezzanine lender in a $7 million subordinated debt financing (with equity kicker) to a manufacturer and distributor of mining equipment, military products and lighting fixtures.
  • Represented mezzanine lender in a $5.5 million subordinated debt and equity financing to a manufacturer and distributor of valves for the water and municipal wastewater processing industries.
  • Represented private equity firms in obtaining capital call lending facilities in the $25 million to $60 million range secured by limited partner commitments.
  • Represented manufacturer of lawn and garden tools in a $207 million senior, subordinated and bridge debt financing.

Real Estate Finance
  • Represented insurance company, on behalf of its separate account, in a $29 million mortgage loan to finance the construction of an office building located in New Jersey.
  • Represented lender in a $50 million mortgage loan to finance acquisition, pre-development and construction costs for a New York City residential condominium project.
  • Represented lender in a $10 million bridge credit facility and a $50 million replacement credit facility to an Atlanta-based real estate developer to finance developer equity required by project level mortgage and mezzanine lenders.
  • Represented lender in a $10 million mezzanine loan to finance the construction of a residential condominium project located in California.
  • Represented trustees of commercial mortgage-backed securities through the lead special servicer in restructuring a $2.7 billion mortgage loan secured by a portfolio of office buildings in Washington D.C., Virginia and Washington.
  • Represented trustee of commercial mortgage-backed securities, through its special servicer, in restructuring two mortgage loans in total principal amount of $715 million secured by multi-family housing located in Georgia, Indiana, Kentucky, Maryland, Michigan, Ohio, Pennsylvania and Tennessee.
  • Represented trustee of commercial mortgage-backed securities, through its special servicer, in the settlement of a $198 million mortgage loan secured by multi-family housing located in Florida, Georgia, Missouri, North Carolina, Texas and Virginia.
  • Represented special servicer to a trustee of commercial mortgage-backed securities in a discounted payoff of a $33 million mortgage loan secured by a retail plaza located in Michigan.
