Andrew Jaworski is a corporate and commercial lawyer with a focus on technology, new media, intellectual property, privacy and data security. Mr. Jaworski also advises on a range of media matters including broadcasting, brand protection, content commercialisation and licensing arrangements. He has worked in private practice, both in Australia and in the UK, where he was a senior solicitor for a premium technology-focused firm and, more recently, as special counsel at an international top tier firm. He also has extensive in-house experience, having worked as a senior counsel in the digital media and technology team at BBC Worldwide, the commercial arm of the BBC in London. Mr. Jaworski was also the ASEAN legal lead for Accenture’s Communications, Media and Technology team based in Singapore where he was involved in a number of complex and high value outsourcing and systems integration deals in the region. More recently, he has enjoyed a number of secondments, including with an international broadcaster, an international telecommunications company, a top tier IT service provider and a global online real estate advertising company.

Mr. Jaworski routinely advises on complex procurement projects in the technology sphere, including systems integration agreements, software licensing (including SaaS), maintenance and hosting (including public/private cloud), PaaS and IaaS arrangements and the procurement of technology and technology related services. He has also negotiated numerous agreements in the IoT, medical device, and biotechnology sphere.

A substantial proportion of his work has involved global deals and cross-border transactions. Prior to studying law Mr. Jaworski was an optometrist and held senior positions in both the private/public health and clinical research sectors.

  • Advising the B2B division of an international broadcaster providing online content on its contractual arrangements with distributors, collecting agencies and all agreements associated with the ultimate outsourcing of its website platform and distribution of content and e-commerce functionality.

  • Advising one of Australia’s largest marketing companies and print directory publishers, on its commercial arrangements with its national and global print and paper suppliers.

  • Advising one of Australia’s largest superannuation funds on vendors’ responses to its RFP and negotiating with the short-listed top-tier vendors for its multi-million dollar replacement core insurance platform. 
  • Advising a SaaS cloud-based start-up on its commercial arrangements with a large international marketing agency, including a privacy-related advice. 
  • Advising one of Australia’s largest health insurers on a multi-million SI and maintenance agreement for its replacement PHI platform (including all regulatory issues such as privacy, compliance with PHI and health records legislation) with IBM and SAP. 
  • Advising a Commonwealth Department throughout the procurement process and negotiating the SI and licence agreement for the government’s replacement child support payment platform with SAP and top-tier IT vendor. 
  • Advising one of Australia's largest health insurers on its IT transformation project, with parallel negotiations with two vendors, leading to contract. 
  • Advising a major telecommunications company on its M2M tele-monitoring agreement with a health insurer and health service provider. 
  • Advising on and negotiating complex contracts (including those based on PPPs and other government contracts) with hospitals for the supply of medical technology for cancer diagnostic and treatment systems, including developing contracting models for the supply and support of medical technology with cloud technology, big data and analytics. 
  • Advising one of Australia's largest health insurers and a top-tier IT service provider on its contracts for tele-health services, including privacy and health records related advice. 
  • Advising a major telecommunications company on its re-seller arrangements with top tier cloud vendors and other suppliers of SaaS, IaaS and PaaS products, locally and internationally, including all privacy advice. 
  • Advising customers and developers on app development for various platforms, including advising a health service provider on its app development and TGA regulation of Software as a Medical Device (SaMDs), Mobile Medical Applications (MMAs) and Mobile Medical Devices (MMDs) (including privacy advice on maintaining health records in a cloud environment). 
  • Reviewing privacy practices and policies and advising on amendments to precedents to comply with reforms to privacy legislation for various clients, including one of Australia's largest health insurers, one of Australia's largest national banks, a leading supplier of innovative technology solutions for the financial markets, wealth management and mortgage sectors and one of Australia's largest retailers.
