Andrea Pinto is the partner responsible for the finance and restructuring practice in the firm’s Milan office. He focuses his practice in advising both lending institutions and borrowers in real estate finance, project finance, acquisition finance and restructuring matters. He has relevant experience in the finance and restructuring & insolvency sectors and has represented banks, financial institutions and corporate clients in very high value and sophisticated commercial and industrial debt restructuring transactions. He also assists clients in turnaround transactions and in the preparation, negotiation, and implementation of corporate and debt restructuring plans. He gained significant experience in restructuring structured finance debt (e.g. CMBS, REF, leverage financings).

Prior to joining K&L Gates, Mr. Pinto practiced at an Italian independent law firm and at another international law firm in Milan. Andrea Pinto has been seconded for one year with Barclays Bank PLC in London in the international lending department (2006).

Professional Background

Prior to joining K&L Gates, Mr. Pinto practiced at an Italian independent law firm and at another international law firm in Milan. Andrea has been seconded for one year with Barclays Bank PLC in the international lending department (2007).

  • Advising a pool of lenders and SACE in connection with the restructuring of a financing granted to a Polish holding company and certain subsidiaries for the construction of a steel plant in Poland.
  • Advising BIIS in connection with the financing for the construction of a wing of a healthcare structure in the Veneto Region.
  • Advising Commerzbank in connection with the project financing of photovoltaic plants in Puglia.
  • Advising the sponsors in connection with the financing for the construction of a wing of the healthcare structure "Spedali Civili di Brescia".
Acquisition Finance
  • Advising the arrangers in providing acquisition finance to an Italian vehicle to purchase the shares of a leading Italian Energy Company.
  • Advising Intesa SanPaolo and BNP Paribas in connection with a €80 million MLBO transaction.
  • Advising the borrower (Infracis) and its sponsors in connection with the financing for the acquisition from Autostrade of stakes in the share capital of Autostrade del Brennero and Autovie Venete.
  • Advising Interbanca in connection with a €80 million senior and revolving facilities relating to the LBO of Jeckerson S.p.A.
Real Estate Finance
  • Assistance to BayernLB, Milan Branch in the financing for the acquisition of a property in Via Torino, Milano by M&G Real Estate (60 € million).
  • Assistance to Aareal Bank AG, Rome Branch in the 2nd phase of the financing of a commercial shopping mall in Montichiari from BNP Paribas Real Estate Investment Management Italy SGR p.A. acting for “Fondo Celio” (Tristan Group) (22 € million).
  • Assistance to Antirion SGR SpA, acting for "Fondo Global" in the acquisition of a real estate portfolio and in the relevant financing granted by ING Real Estate Finance NV (€ 68 million)
  • Assistance to BayernLB, Milan Branch in the financing granted to Hines  for the purchase of a commercial property in Milan Via Speronari (25 € million)
  • Assistance to AXA Real Estate Investment Managers SGR S.p.A., acting on its behalf and as managing company of the fund named “CORE ITALIAN PROPERTIES” in the refinancing of a real estate portfolio (€80 million).
  • Assistance to COIMA SGR S.p.A., acting on its behalf and as managing company of the fund named “Fondo Energy Park” for the purchase of a real estate property in the north of Italy, arranged through by Banca IMI S.p.A. (€106 million).
  • Assistance to Aareal Bank AG, Rome Branch in the financing for the purchase of a real estate property by BNP Paribas Real Estate Investment Management Italy SGR S.p.A. on its behalf and as managing company of, and therefore on behalf of, Fondo Celio (Tristan Group) (€58 million).
  • Assistance to UniCredit S.p.A., in the financing for the purchase of a real estate property by the holding of a group operating in developing large shopping centers, resorts, business parks as well as residential complexes (€66 million).
  • Assistance to COIMA SGR S.p.A., acting on its behalf and as managing company of the fund named “Fondo Feltrinelli Porta Volta” for the purchase of a real estate property, arranged through by Banca IMI S.p.A. (€50 million).
  • Assisting METRO AG on the financing matters related to an Euro 250,000,000.00 acquisition of a portfolio of 20 assets located in Italy.
  • Assistance to Eurohypo AG, Unicredit, Intesa Sanpaolo, Credit Agricole Corporate and Investment Bank, Mediobanca, Banca Popolare di Milano in restructuring an up to Euro 2,000,000,000 loan for the purchase and the development of CityLife Complex (Milan).
  • Assisting the Allianz Group on the financing matters related to an Euro 400,000,000.00 acquisition of the commercial centre "Porta di Roma".
  • Assistance to Eurohypo AG, Unicredit, Intesa Sanpaolo and Banca Popolare di Milano in the contribution of an €690 million loan (granted for the development of the Porta Nuova Varesine Complex in Milan) to a closed ended real estate investment fund.
  • Assistance to a pool of primary Spanish banks in the granting of a loan term loan to a major Spanish hotel management group with substantial hotel assets in Italy.

  • Assistance to a company that operates in the field of nuclear energy on the debt restructuring through a take over of an Italian company active in the nuclear sector.
