Alice Ma is an associate in the Beijing office and is a member of the firm’s Energy Infrastructure and Resources group. Ms. Ma’s principal areas of practice include cross border mergers and acquisitions, foreign direct investment, private equity, as well as other general corporate practice and international business transactions. She has also assisted in advising clients across a range of industries including venture capital, real estate, manufacturing, mining, and technology.

  • Represented a U.S. technology company in drafting and negotiating water supply contracts, power supply contracts and maintenance contracts for its data center in Ningxia, China;
  • Represented a U.S. energy company in forming a joint venture company with a China state owned energy company in drilling a data well in Xinjiang, China; 
  • Providing legal advice on China Advertising Law for a European telecommunication company to promote and sell its products in China;
  • Provided legal advice regarding new energy regulations in China for a U.S. energy company that plans to invest in China;
  • Provided legal advice regarding change of register location in China for an Australian publishing company;
  • Represented a Hong Kong chemical company in applying for an increase of registered capital of their wholly owned corporation in Nanjing.

  • Represented a China trust company in setting up a real estate fund in Cayman and investing in real estate properties in the U.S.;
  • Provided legal advice regarding U.S. security law for a China company’s IPO in the U.S.;
  • Represented a U.S. private equity in forming joint venture companies with other private equities to invest in the real estate industry in China.
Regulatory, Compliance and International Arbitration
  • Representing a leading Chinese coal company with respect to a coal purchase contract dispute against an international company in front of the Hong Kong International Arbitration Tribunal;
  • Represented a leading Chinese securities company in compiling and designing the U.S. Volcker Rule, Dodd-Frank and E.U. Financial sectors of its compliance manual; also assisted client in figuring out exemptions of the Bank Holding Company Act, Dodd-Frank Act and Volcker Rule for its proposed transaction in the U.S.;
  • Represented a leading Shanxi-based Chinese provincial coal company in proceeding an arbitration in Hong Kong related to a dispute with a European energy company regarding their CDM Emissions Reductions Purchase Agreement.
Cross Border Mergers & Acquisition
  • Representing a leading Chinese Shipping company in investing in a logistics and shipping port interest in Kazakhstan;
  • Representing a leading Chinese shipping company in acquiring interest in a new mid-stream company to be incorporated by a Switzland company, which will cover 12 asset companies worldwide;
  • Represented a state-owned energy company in its potential acquisition of FPSO contracts and relevant shipyard assets in Brazil;
  • Represented a leading China oil company in drafting a memo regarding a Production Sharing Contracts comparison chart and a memo regarding the exploration and development of unconventional hydrocarbon resources in the U.S. and Canada, as well as provided recommendations with regard to amendments to Chinese Production Sharing Contract;
  • Represented a Chinese state owned energy company in its investment in a U.S.- based tank container operator through a global joint venture in the Netherlands;
  • Represented a Chinese state owned energy company in their acquisition of a majority equity interest in a Russian mine corporation;
  • Represented a Chinese state owned energy company in preparing model contracts for their global energy business;
  • Represented a Chinese state owned energy company in reviewing energy regulations in Cameron, and drafted a feasibility report regarding its investment in oil and gas assets assigned by another international oil company;
