Our global oil and gas practice is recognized for its extensive experience in upstream, midstream and downstream sectors, including strength in LNG, petrochemical projects, oilfield services, and conventional and unconventional formations, including the largest onshore U.S. shale plays. In the mining and metals industries, our practice spans the range of natural resources development, conservation, and management companies – including water, coal, aggregates, minerals, and base and precious metals, as well as producers of steel and specialty metals. Our electric power practice encompasses traditional fossil-fueled power projects, renewable projects, transmission, and emerging technologies in energy storage and smart grid. In addition, we advise large electric consumers on corporate energy sourcing. Our infrastructure practice includes project development, finance, acquisitions and operations of economic infrastructure such as ports, rail, roads and bridges, and social infrastructure such as housing, hospitals and detention facilities.

We have successfully represented the sponsors, developers or promoters of projects as well as traders, commercial and development banks, investors, vendors, landowners, contractors (EPC and O&M), operators, and equipment suppliers. We frequently represent clients involved in asset, project or company acquisitions and divestitures as well as public-private partnerships. Our team has extensive experience representing large institutional investors such as pension and superannuation funds, as well as sovereign wealth funds, in connection with their investments into or acquisitions of infrastructure and energy assets.

Our multidisciplinary, firmwide approach gives our clients seamless access to focused advice so that they can make the best decisions for their businesses and execute those decisions in the most efficient and effective manner. Our bench strength across multiple jurisdictions in corporate transactions and finance, risk management and insurance coverage, tax, real estate, environmental permitting, regulatory matters, and public policy enables us to provide high quality and efficient representation from the earliest phases of due diligence through financing, land acquisition, permitting, construction, operation, transfer and decommissioning. As circumstances warrant, we represent clients in disputes and enforcement proceedings.

Our sophisticated global finance practice integrates the many disciplines involved in debt financing and restructuring transactions across markets and industries across the globe.  Practicing in approximately 40 of our offices in Asia, Europe, the Americas and Australia, we maintain a balance between buy-side and sell-side representation and also represent servicers, collateral managers, trustees, rating agencies and investors.

In bilateral lending we focus on corporate finance, acquisition finance, asset-based finance, project finance, real estate finance, transportation finance and Islamic finance.  Our team advises clients in all aspects of lending and commercial financing.  In addition to traditional financing transactions we also advise with respect to more complex forms of financing such as participation arrangements, senior and junior mezzanine loans, intercreditor arrangements, preferred equity or hybrid investments and Shari’ah compliant loan structures.

In debt capital markets we focus on both registered and exempt offerings of bonds, including high-grade and high-yield corporate debt securities, mortgage-backed and asset-backed securities, covered bonds, CLOs and municipal securities.  Our debt capital markets practice also coordinates our expertise in the documentation and regulation of OTC derivatives and futures.  We closely monitor the impact of regulation in the markets and jurisdictions where our clients operate, including APS 120, Basel III, CRD IV the Dodd-Frank Act, the European Markets Infrastructure Regulation and the Volcker Rule.

Our restructuring and insolvency practice is closely integrated with our lending and debt capital markets practice in finance.  By integrating our restructuring and insolvency lawyers in our finance practice we ensure close coordination between the transactional needs at the “front end” of finance with restructuring expertise at the “back end” of finance, often against the backdrop of insolvency proceedings.   Our restructuring & insolvency lawyers also work closely with lawyers in our corporate and transactional practice, our real estate practice, our energy, infrastructure and resources practice and our litigation practice.
