Securities and Transactional Litigation

From our successful defense of a national accounting firm in one of the first Rule 10b-5 class actions ever tried, to our present day representation of clients in litigation involving transactions valued at US$1 billion or more, our Securities and Transactional Litigation team is well-poised to aggressively defend clients involved in class action and derivative litigation in state or federal court jurisdictions across the United States.

Our practice encompasses the full spectrum of litigation, including cases involving high-profile mergers and acquisitions, class actions, derivative claims and corporate governance disputes, litigation under the Investment Company Act of 1940, private actions between parties, and defense of criminal cases. We have successfully represented major public corporations, boards of directors and board committees, senior executives, investment banks, investment advisors, investment funds, underwriters, venture capital firms, asset managers, and auditors, among many others, in litigation arising under both the federal securities laws and a host of state securities laws and common law legal theories.

We have extensive experience litigating these cases in federal and state courts throughout the United States, including the US Supreme Court, the US Courts of Appeal, and the courts in precedent-setting jurisdictions such as California, Delaware, and New York. We also have extensive experience arbitrating these kinds of disputes before distinguished panels of arbitrators under the administration of the American Arbitration Association, JAMS, and other arbitral bodies.

Leveraging our fully integrated global platform, we bolster our practice by tapping into the capabilities of our colleagues who have extensive experience in related areas such as securities regulation, mergers and acquisitions, corporate governance, capital markets, investment management , securities enforcement, and criminal defense. Our lawyers have prosecuted and defended insider trading cases, including recently persuading the SEC to drop an insider trading case. With offices located around the world, we have a strong local presence in key commercial and financial centers where many of our clients are located, and where securities-related actions frequently are brought. We also regularly work in conjunction with our colleagues who formerly served at the Department of Justice, the Securities and Exchange Commission, and other regulatory agencies to address regulatory matters and compliance concerns that often arise in conjunction with civil disputes.
